Texas and its operations for non - profit, non - commercial purposes. <br />ARTICLE 2 <br />TERM AND COMPENSATION <br />Grant of License <br />2.01 City grants to Licensee the non - transferable, non - exclusive right and license to use certain <br />of its Trademarks: <br />snnpR o rces <br />for all appropriate non - profit, non - commercial purposes, and to distribute goods to the <br />public using such Trademarks and also to use the Trademarks in conjunction with the <br />following: "Downtown San Marcos ", "San Marcos Partnership ", "Historic Downtown ". <br />Term <br />2.02 This License Agreement shall be effective on the date it has been signed by every party <br />hereto, and shall remain in full force and effect unless and until it or is terminated as <br />provided herein. <br />City reserves the right to review the relationship at any time, and may elect to terminate <br />the contract with or without cause or may elect to continue. <br />Compensation <br />2.03 In exchange for the grant of a license the Licensee agrees to promote the City of San <br />Marcos and the community through its programs, advertising, and special events. <br />Goodwill of Licensed Marks <br />2.04 Licensee agrees that the essence of the agreement is founded on the goodwill associated <br />with the Licensed Marks and the value of that mark in the minds of the public. Licensee <br />agrees that it is critical that such goodwill be protected and Licensee shall not use the <br />Trademark in any manner that is likely to reduce, diminish or damage the goodwill, value or <br />reputation associated with the Trademark. <br />ARTICLE 3 <br />USE OF TRADEMARKS. <br />2 <br />
