this Agreement. City expressly authorizes Vendor to display and/or modify any City supplied <br />images, data, information and other items in connection with the services provided herein. <br />1.4 ADDITIONAL SERVICES /CHANGES IN SERVICE <br />1.4.1 Since the Vendor's compensation is a fixed fee for its services, including minor <br />deviations from those described in this Agreement, compensation to the Vendor for Additional <br />Services will only be for substantial deviations from the scope of services as described in this <br />Agreement. The City does not anticipate the need to purchase Additional Services at this time. <br />However, in the event the City determines the need for Additional Services it will negotiate a <br />separate Scope of Work for the Vendor's provision of Additional Services and extra hours prior <br />to commencement of the work. All Additional Services will be processed on an Authorization of <br />Change in Services ( "ACIS ") form (Attachment Q. Each ACIS will include a description of the <br />proposed Services and all related costs and will be approved by the City prior to the Vendor's <br />provision of any Additional Service. The remaining terms and conditions of this Agreement will <br />remain in full force and effect for the performance of any additional services unless amended in <br />accordance with Section I 1 of this Agreement. Maintenance beyond the initial twelve month <br />term which is included in the fees for the Project will specifically be considered additional <br />services. <br />ARTICLE 2 <br />THE CITY'S RESPONSIBILITIES <br />The City will: <br />2.1 Provide full information to the Vendor regarding the City's requirements for the Vendor's <br />provision of Services under this Agreement. The City will furnish the Vendor with copies of data <br />and other information in the City's possession necessary for the completion of the work defined <br />under this Agreement in electronic format. The City will supply all information to the Vendor in <br />digital format including without limitation copy, text, audio files, video files, pdf files, <br />photographs, artwork and preexisting graphics. <br />2.2 Utilize the Website in strict accordance with, but not limited to, all local, state, and <br />federal laws. In addition, the City agrees that any text, data, graphics, or any other material <br />published by City on its Website is free from violation of or infringement upon copyright, <br />trademark, service mark, patent, trade secret, statutory, common law or proprietary or intellectual <br />property rights of others, and is free from obscenity or libel. <br />2.3 Designate Melissa Millecam, Director of Communications/ Intergovernmental Relations <br />as the City's Project Manager and authorized representative to act on the City's behalf with <br />respect to this Agreement. The City will examine any documents and information submitted by <br />the Vendor and will promptly respond to any issues requiring a decision by the City. <br />6 <br />Web Redesign and Content Management System <br />
