this Agreement. City expressly authorizes Vendor to display and/or modify any City supplied images, data, information and other items in connection with the services provided herein. 1.4 ADDITIONAL SERVICES /CHANGES IN SERVICE 1.4.1 Since the Vendor's compensation is a fixed fee for its services, including minor deviations from those described in this Agreement, compensation to the Vendor for Additional Services will only be for substantial deviations from the scope of services as described in this Agreement. The City does not anticipate the need to purchase Additional Services at this time. However, in the event the City determines the need for Additional Services it will negotiate a separate Scope of Work for the Vendor's provision of Additional Services and extra hours prior to commencement of the work. All Additional Services will be processed on an Authorization of Change in Services ( "ACIS ") form (Attachment Q. Each ACIS will include a description of the proposed Services and all related costs and will be approved by the City prior to the Vendor's provision of any Additional Service. The remaining terms and conditions of this Agreement will remain in full force and effect for the performance of any additional services unless amended in accordance with Section I 1 of this Agreement. Maintenance beyond the initial twelve month term which is included in the fees for the Project will specifically be considered additional services. ARTICLE 2 THE CITY'S RESPONSIBILITIES The City will: 2.1 Provide full information to the Vendor regarding the City's requirements for the Vendor's provision of Services under this Agreement. The City will furnish the Vendor with copies of data and other information in the City's possession necessary for the completion of the work defined under this Agreement in electronic format. The City will supply all information to the Vendor in digital format including without limitation copy, text, audio files, video files, pdf files, photographs, artwork and preexisting graphics. 2.2 Utilize the Website in strict accordance with, but not limited to, all local, state, and federal laws. In addition, the City agrees that any text, data, graphics, or any other material published by City on its Website is free from violation of or infringement upon copyright, trademark, service mark, patent, trade secret, statutory, common law or proprietary or intellectual property rights of others, and is free from obscenity or libel. 2.3 Designate Melissa Millecam, Director of Communications/ Intergovernmental Relations as the City's Project Manager and authorized representative to act on the City's behalf with respect to this Agreement. The City will examine any documents and information submitted by the Vendor and will promptly respond to any issues requiring a decision by the City. 6 Web Redesign and Content Management System
