and records of the Vendor which are directly pertinent to this Agreement for the purpose of <br />making audit, examination, excerpts, copying and transcriptions. <br />5.3 The Vendor will furnish to the City at such time and in such form as the City may require <br />available financial reports. Any information provided pursuant to this paragraph will be held in <br />strict confidence to the extent permitted by applicable law. <br />ARTICLE 6 <br />OWNERSHIP AND USE OF DATA AND DOCUMENTS <br />6.1 Subject to Article 8, Section 8.2 of this Agreement, all documents prepared by the <br />Vendor in connection with this Agreement are the property of the City whether any project <br />related to this Agreement is executed or not. The City will maintain ownership and control of all <br />data files generated by the City using VCMS provided by the Vendor. <br />6.2 Vendor may use any web pages developed for the City in any of its own promotional <br />materials as examples of its work. The City agrees that Vendor may place in the Website footer <br />an unobtrusive text link reading "Developed by Vision Internet" or the equivalent. The Vendor's <br />footer text credit will always be linked to a Vendor web page. <br />6.3 The Vendor will retain all of its records and supporting documentation relating to this <br />Agreement, and not delivered to the City, for a period of three years except in the event that the <br />Vendor goes out of business during that period, it will turn over, to the City, a copy of all of its <br />records relating to the Project for retention by the City. <br />ARTICLE 7 <br />TERM; TERMINATION OF AGREEMENT <br />7.1 The term of this Agreement will begin on the effective date established in paragraph one <br />of the Agreement and will extend for one year (the "Initial Term ") and until the Project is fully <br />accepted by the City. <br />7.2 If this Agreement is not renewed or is terminated for any reason and there is additional <br />work in process associated with the Project, then the terms and conditions of this Agreement and <br />any additional scope of work included will remain in place until such time that the work is <br />completed and the Vendor is paid in full. <br />7.3 After the Initial Term of 12 months, the hosting provided in this Agreement will <br />automatically renew every 12 months ( "Renewal Term ") and continue in full force and effect <br />annually for a period of up to ten years or until one party gives written notice to the other of its <br />intent not to renew this Agreement at least thirty (30) days prior to the expiration of any Renewal <br />Term. All of the terms and conditions of this Agreement will continue, unmodified, in full force <br />and effect, until the last applicable Renewal Term is completed except that no fee increases will <br />8 <br />Web Redesign and Content Management System <br />
