<br />ATTACHMENT E <br />General Provisions <br /> <br />Article 1: <br /> <br />Legal Authority and Indemnification <br /> <br />The SUBCONTRACTOR warrants and assures CAPCO that it possesses adequate legal authority to enter <br />into this Contract. The SUBCONTRACTOR'S governing body where applicable has authorized the <br />signatory official(s) to enter into this Contract and bind the SUBCONTRACTOR to the terms of this <br />Contract and any subsequent amendments hereto. The SUBCONTRACTOR agrees to adhere to the <br />provisions of Section 361.014 of the Texas Health and Safety Code, Title 30 Texas Administrative Code <br />section 330.569, to the provisions of section 330.59 of the TNRCC Municipal Solid Waste Regulations, <br />this agreement and the Uniform Grant Management Standards (''UGMS''). <br /> <br />Indemnification <br /> <br />(a) To the extent allowed by Texas law, SUBCONTRACTOR agrees at its own expense to defend <br />CAPCO and TCEQ, their governing body members, officers, employees, and agents, against any <br />claim, suit, or administrative proceeding, and to indemnify them against any liability (including <br />all expenses and reasonable counsel fees incurred), arising out of any act or omission of <br />SUBCONTRACTOR's governing body member, officer, employee, or agent under this <br />Contract. <br /> <br />(b) If SUBCONTRACTOR is served with process in a suit or proceeding described in Subsection <br />(a), SUBCONTRACTOR agrees to furnish CAPCO promptly with a copy of the process. <br /> <br />(c) SUBCONTRACTOR agrees that its indemnification obligations under Subsection (a) apply to <br />causes of action accruing during the term of this Contract, and that for this purpose the <br />obligations will survive the ending or early termination of this Contract. <br /> <br />Article 2: <br /> <br />Scope of Services <br /> <br />The services to be performed by the SUBCONTRACTOR are herewith outlined in the General Contract <br />(Attachment E) and the Special Contract Provisions (Attachment A), which are hereby incorporated into <br />and made a part of this Contract as if set out word-for-word herein. <br /> <br />Article 3: <br /> <br />Purpose <br /> <br />(a). The purpose of this Contract is to accomplish the goals of the Solid Waste Disposal Act of 1989, <br />as amended, as they relate to distributing solid waste fee revenue funds to support local and <br />regional solid waste projects consistent with the regional solid waste management plans approved <br />by the TCEQ and to update and maintain those plans. <br /> <br />(b). Under the overall goals of the funding program the purposes of this Contract are: <br /> <br />1. To enable CAPCO to carry out or conduct various municipal solid waste management-related <br />services and support activities within CAPCO' s regional jurisdiction; and <br /> <br />CAPCO FY2003 Solid Waste Interlocal Contract <br /> <br />21 <br />
