<br />under this Agreement will be by persons appropriately licensed or registered under those <br />laws. <br /> <br />1.1.6 All services performed by or for it under this Agreement will be performed on a timely <br />basis, and in a good and workmanlike manner by persons having specialized skill and <br />knowledge as to the services being performed. <br /> <br />1.1.7 The City shall have quiet enjoyment of all software provided by the Consultant, and <br />no change in the organization, structure or ownership of the Consultant shall in any way <br />interfere or diminish the City's use, possession and enjoyment of the software. <br /> <br />1.1.8 All training to be provided by the Consultant to the City in the use of software <br />provided by the Consultant under this agreement will be sufficient to enable the City's staff <br />to fully use the software for the City's intended purposes. <br /> <br />The Consultant will: <br /> <br />1.1.9 Designate Pravin Kumar as the single contact person assigned to coordinate the <br />Consultant's performance of obligations under this Agreement. Any changes to this <br />designation must be made by the Consultant in writing to the City. <br /> <br />1.1.10 Not subcontract any work under this Agreement without prior written approval from <br />the City. Any work or services subcontracted under this Agreement will be specified by <br />separate written Agreement and will be subject to each provision of this Agreement. <br /> <br />1.1.11 Perform all of its services in coordination with the City. The Consultant will advise <br />the City of data and information the Consultant needs to perform its services, and the <br />Consultant will meet with City representatives at mutually convenient times to assemble <br />this data and information. <br /> <br />1.2 PROJECT MANAGEMENT <br /> <br />The Consultant will: <br /> <br />1.2.1 Provide a project manager for the duration of the Project. The duties of the project <br />manager include general administrative duties associated with the Project, including <br />progress monitoring, scheduling, general correspondence, office administration and <br />invoicing. The project manager will work closely with the City Finance and Information <br />Technology Departments and will coordinate and maintain open communication between <br />all parties involved. <br /> <br />1.2.2 Guarantee that the City has the right to interview all personnel assigned to the <br />Project by the Consultant and accept or reject such personnel individually or collectively. <br />Such interview may be in person, at the City's expense, or via telephone at no charge to <br />the City.
