131 CONTRACT TO THE CITY OF SAN MARCOS - QT- 2901/3 <br />Attachment B <br />JustWare API hosted subscription Agreement <br />As part of the JustWare API hosted services, New Dawn will provide Customer secure and encrypted access <br />and storage via an Internet connection to the hosted JustWare API service. Future versions of the JustWare <br />API will be compatible with the JustWare API version included herein. <br />i. License Grant & Restrictions <br />New Dawn Technologies hereby grants Customer a non - exclusive, non - transferable, worldwide right to use the <br />hosted service subject to the terms and conditions of the Contract. All rights not expressly granted to <br />Customer are reserved by New Dawn. <br />Customer will not (i) license, sublicense, sell, resell, transfer, assign, distribute or otherwise commercially <br />exploit or make available to any third party the hosted service or the Content in any way; (ii) modify or make <br />derivative works based upon the hosted service or the Content; (iii) create Internet "links" to the hosted service <br />or "frame" or "mirror" any Content on any other server or wireless or Internet -based device; or (iv) reverse <br />engineer or access the hosted service in order to (a) build a competitive product or hosted service, (b) build a <br />product using similar ideas, features, functions or graphics of the hosted service. <br />2. New Dawn Responsibilities <br />During the Term of this Agreement, New Dawn will render the following services in support of the hosted <br />service, during Hours of Operation: <br />a) Provide hardware and software for the hosting of Customer data. <br />b) Provide hardware and software maintenance of the JustWare system. <br />c) Use all reasonable diligence in correcting verifiable and reproducible errors when reported to New <br />Dawn. New Dawn will, after verifying that such an error is present, initiate work in a diligent manner <br />toward development of a solution. <br />d) Respond to Customer's requests for additional functionality enhancements to the JustWare API <br />hosted service, provided that such enhancements will be mutually agreed to by New Dawn and the <br />Customer. <br />e) Support and implement the current versions of the JustWare API including new functionality, <br />enhancements, patches and fixes at no cost to the Customer. These versions may contain new <br />functionality and fixes not specifically requested by the Customer. New Dawn will provide <br />supplemental software and hardware requirements, recommendations and documentation per version <br />of the hosted service. <br />f) Treat all information, data or files provided by Customer as confidential, maintaining secure access to <br />such material only for New Dawn support personnel for purposes of investigating or solving a support <br />request. <br />g) Provide a testing and development environment for any JustWare API developers or subcontractor <br />developers. <br />V V New Dawn <br />
