City of San Marcos and the San Marcos Civil Service Commission

Dear Mark:

Weare pleased and honored that the City of San Marcos has decided to retain Karger Key Barnes &
Springer, LLP (KKBS) in connection with the defense of the above referenced lawsuit. The purpose of
this letter is to set forth the terms ofthe City's engagement ofKKBS.

KKBS will represent both Defendants in this lawsuit, that is, the City of San Marcos and the San Marcos
Civil Service Commission. Our representation will be on an hourly fee basis, billed in tenth-of-an-hour
increments, with the smallest increment beginning at two/tenths of an hour. I will be the lead attorney on
this matter, but I may call upon other attorneys inthe firm to assist me from time to time. The City will
be responsible for the hourly fee of each attorney and legal assistant who perform work on behalf ofthe
City and/or the Civil Service Commission in this litigation. Current billing rates for KKBS attorneys in
our Fort Worth office are as follows:

Bettye Springer
LuPharil
Julie Ross
Julia Vasquez

$ 200.00
180.00
180.00
180.00

There will certainly be times where it will be more efficient and economical to assign tasks to a legal
assistant, at a rate of$65 an hour. These rates are guaranteed through December 31, 2000. At that time,
we will reevaluate our hourly rates, and let you know if we propose any change.

666 NORTH FIELDER ROAD SUITE 105 ARLINGTON, TEXAS 76012
TELEPHONE (817) 299-9200 FACSIMILE (817) 299-9600
