INVESTMENT ADVISORY AGREEMENT ThisAGREEMENTismadethisthe 15TH day of FEBRUARY ,2000, between the City of San Marcos, Texas ("City"), 630 East Hopkins, San Marcos, Texas 78666 and Patterson Capital Management, LP, d.b.a. Patterson & Associates ("P&A"), 301 Congress Avenue, Austin, Texas 78701, a registered investment advisor and funds management Texas limited partnership, for the provision of investment management services. PREAMBLE WHEREAS, the City has selected and awarded a contract to P&A to act as its investment manager for funds and securities, to manage, receive, maintain, disburse and invest monies and securities and to perform the services described herein, WHEREAS, P&A is willing to provide such services on the terms and conditions set forth in this Agreement, NOW THEREFORE, for and in consideration of the mutual promises, covenants, and agreements contained in this Agreement and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the City and P&A agree with each other as follows: ARTICLE 1 DEFINITIONS 1.1 Authorized Investments means those investments authorized and defined in the City Investment Policy. 1.2 Authorized Representative(s) of the City means any duly authorized officer or employee of the City designated in writing by the City as an authorized representative, to execute instructions and take other necessary actions under this Agreement on behalf of the City. 1.3 Authorized Representative(s) of P&A means any employee of P&A who is designated in writing by P&A as an authorized representative for purposes of this Agreement. 1.4 City Investment Policy means the policy and attached to this Agreement as Exhibit A. 1.5 Letterof/nstructions means a written authorization and direction to an Authorized Representative of P&A signed by an Authorized Representative of the City. 1
