<br />ARTICLE 2 <br />STANDARDS OF PERFORMANCE <br /> <br />2.1 The performance of all services by P&A in connection with this Agreement will be <br />by persons appropriately licensed or registered under State, local and Federal laws. In <br />performing all services under this Agreement, P&A will use that degree of care and skill <br />ordinarily exercised for similar projects by professional investment advisors who possess <br />special expertise in the types of services involved under this Agreement. <br /> <br />2.2 No work under this Agreement will be subcontracted by P&A without prior written <br />approval from the City. Any work or services subcontracted under this Agreement will be <br />specified by separate written Agreement and will be subject to each provision of this <br />Agreement. <br /> <br />2.3 Any provisions in this Agreement pertaining to the City's review, approval and/or <br />acceptance of written materials prepared by P&A and/or its sub-consultants, in connection <br />with this Agreement will not diminish P&A's responsibility for the materials. <br /> <br />2.4 P&A will perform all of its services in coordination with the City. P&A will advise the <br />City of data and information P&A needs to perform its services, and P&A will meet with City <br />representatives at mutually convenient times to assemble this data and information. <br /> <br />2.5 In accordance with Texas State Securities Board requirements, the City will <br />acknowledge receipt of the disclosure statement (Part II of Form ADV) by signature on the <br />attached Exhibit B within five business days of entering into this Agreement. <br /> <br />2.6 All transactions shall be subject to the regulations of all applicable government <br />authorities and self-regulatory agencies including, but not limited to, the constitutions and <br />rules of the clearing agent, exchange, or market where executed. P&A represents that it <br />is registered as an investment advisor under the I nvestment Advisers Act of 1940 and is <br />authorized and empowered to enter into this Agreement. P&A shall immediately notify the <br />City if at any time during the term of this Agreement it is not so registered or if its <br />registration is suspended. As a registered investment advisor, P&A is obligated to comply <br />with all applicable laws and regulations, including those of the Securities and Exchange <br />Commission and other regulatory and self-regulatory agencies. <br /> <br />2.7 P&A shall promptly notify the City in writing of any complaints or disciplinary actions <br />filed against it, or any investment professional employed by it, who has performed any <br />service with respect to the City's account in the 24 preceding months, by the Securities and <br />Exchange Commission, the New York Stock Exchange, theAmerican Stock Exchange, the <br />National Association of Securities Dealers, any Attorney General or any regulatory agency <br />or authority of any state of the United States, any department or agency or authority of the <br />Government of the United States. <br /> <br />2 <br />
