<br />employees and applicants for employment, notices setting forth requirements of these non- <br />discrimination provisions. <br /> <br />VIllA The parties will state in all solicitations or advertisements or employees placed on or behalf of the <br />parties that all qualified applicants will receive consideration for employment without regard to race, <br />religion, color, sex or national origin. <br /> <br />VIII.5 The CITY and DISTRICT will permit access to their books, records, and accounts for purposes of <br />investigation to ascertain compliance with equal opportunity and affirmative action. <br /> <br />VIII. 6 The parties agree to consider and make reasonable use of minority-owned and female-owned <br />businesses in the procurement of goods and services, in the use of real or personal property, and in <br />contracting for construction. In all instances, affirmative action will be given to minority-owned and <br />female-owned businesses offering comparable quality and value. <br /> <br />IX. - OTHER AGREEMENTS: <br /> <br />IX. I This contract shall be construed under and in accordance with the laws of the State of Texas and all <br />obligations of the parties are to be performed in Hays County. <br /> <br />IX. 2 This contract shall be binding on and to the benefit of the parties and their respective heirs, <br />executors, administrators, legal representatives, successors and assigns except as otherwise expressly <br />provided. This contract may not be assigned without the consent of all parties involved and the <br />Office of Governor, Criminal Justice Division. <br /> <br />IX. 3 The parties agree to the terms and conditions set forth in the COUNTY'S attachment, which are <br />incorporated by reference as if set out in full. This contract constitutes the sole and only agreement <br />of the parties and supersedes any prior understandings, written or oral, agreements between the <br />parties herein. This contract shall not be construed as creating a debt on behalf of the COUNTY. <br /> <br />IXA All notices shall be addressed to the parties as the address stated in the contract, unless a change of <br />address has been given in the manner provided for in this paragraph. <br /> <br />IX. 5 Each party assures and guarantees it possesses the legal authority to enter into this contract and to <br />perform the service the parties have obligated themselves to perform. <br /> <br />IX. 6 During the period of this contract, the COUNTY tnay inspect the CITY'S premises, accounting <br />records and any other records to monitor the CITY'S performance of the work and expenditures of <br />contract funds. <br /> <br />IX. 7 The CITY shall indemnify and hold harmless all employees and agents of the COUNTY from any <br />and all claims, demands, damages, expenses, liabilities and injuries to persons or property arising <br />from the CITY'S negligent acts, errors or omissions in performance of this professional contract, to <br />the extent allowable under the laws of the State of Texas. <br /> <br />IX. 8 The following instruments are incorporated into the contract: <br /> <br />1. <br />2. <br />3. <br />4. <br />5. <br /> <br />Attachment A <br />Attachment B <br />Attachment C <br />Attachment D <br />Attachment E <br /> <br />Activities to be Performed by the Parties <br />Signed Assurances Document <br />5 Year Budget for San Marcos ISD <br />Contact Persons/Addresses for each Party <br />Approval of Hays County Commissioners Court <br /> <br />The person or persons signing this contract on behalf of the parties warrant and guarantee to having been duly <br />authorized to execute contract.
