On or before February 1st of each year of the Abatement Penod, CF AN wIll <br />furmsh records to the CIty supportmg CF AN's tax abatement for the current tax year These records <br />wIll pertam to CF AN's complIance WIth thIS Agreement for the preVIOUS calendar year The CIty Will <br />evaluate the mformatIOn furnIshed, and wIll have the nght to request and receIve from CF AN <br />addItIOnal mformatIOn needed to help the CIty determme CF AN's comphance WIth thIS Agreement. <br />Upon the CIty'S venficatlon of comphance WIth thIS Agreement by CF AN for the prevIOUS calendar <br />year, the CIty wIll Issue a tax abatement certIficate to CF AN vahdatIng the Tax Abatement for the <br />current tax year <br />Section 4.02. At all tImes untll the CIty'S nghts to declare default agamst CF AN have <br />expued, the CIty WIll have access to the Property and the Facihty upon reasonable pnor notIce for the <br />purpose of mspectIng them to ensure that the FaCIlIty IS reconstructed, renovated and remodeled, and <br />mamtamed and used m accordance WIth the terms of thIS Agreement. <br />PARTS. DEFAULT <br />Section 5.01 The CIty Manager may declare a default under thIS Agreement If CF AN <br />1 falls to complete the constructIOn ofthe Improvements and the mstallatIOn ofthe EqUIpment <br />m the FaCIlIty m accordance WIth the schedule described In the "Investment" column In the <br />table attached to thIS Agreement as ExhibIt B, <br />2 refuses, falls or neglects to comply WIth any of the terms of thIS Agreement, mcludmg the <br />proVISIOn for the creatIOn and mamtenance of Jobs In Sectlon 2.03 above; <br />3 made any representatIOn m thIS Agreement or m the applIcatIOn to the CIty for tax abatement <br />that IS false or mIsleadmg many matenal respect; or <br />4 allows ad valorem taxes owed to the CIty on the Property, the FacIhty or the EqUIpment to <br />become dehnquent, unless CF AN tlmely and properly protests or contests the taxes. <br />Section 5.02 Ifthe CIty Manager determmes that CF AN IS m default OfthIS Agreement on a <br />baSIS other than the failure to pay ad valorem taxes on the Property or the FacIhty, the CIty Manager <br />wIll notlfy CF AN m wntmg, and If the default IS not cured wIthm 60 days from the date of the <br />notlce, then the CIty Manager may termInate thIS Agreement.
