all representations of the Vendor included in Vendor's proposal, and the City's Request for Proposals. If errors or deficiencies are discovered after the date of the formal acceptance of the meters by the City, the Vendor warrants that it will correct the defects, without charge to the City, for a period of four (4) years in accordance with the warranty attached to this Agreement as Attachment A. 1.1.6 All services performed by or for the Vendor under this Agreement will be performed on a timely basis, and in a good and workmanlike manner by persons having specialized skill and knowledge as to the services being performed. 1.1.7 The City shall have quiet enjoyment of all software provided by the Vendor, and that no change in the organization, structure or ownership of the Vendor shall in any way interfere or diminish the City's use, possession and enjoyment of the software. 1.1.8 All training to be provided by the Vendor to the City in the use of the equipment and related software provided by the Vendor under this agreement will be sufficient to enable the City's staff to fully use the software for the City's intended purposes. 1.1.9 Any provisions in this Agreement pertaining to the City's review, approval and/or acceptance of written materials prepared by Vendor in connection with this Agreement will not diminish Vendor's responsibility for the materials. The Vendor will: 1 .1.10 Designate Ron Davis as the single contact person assigned to coordinate the Vendor's performance of obligations under this Agreement. Any changes to this designation must be made by the Vendor in writing to the City. 1.1.11 Not subcontract any work under this Agreement without prior written approval from the City. Any work or services subcontracted under this Agreement will be specified by separate written Agreement and will be subject to each provision of this Agreement. 1.1.12 Perform all of its services in coordination with the City. The Vendor will advise the City of any data and information the Vendor needs to perform its services, and the Vendor will meet with City representatives at mutually convenient times to assemble this data and information. 1.2 EQUIPMENT The Vendor will provide the following equipment: 1.2.1 Twenty-one Electro Industries Revenue Metering Systems; NEXUS 1250 complete with data logging capabilities for date/time stamping of all electrical values and waveform capture; selectable by the City from 16 samples per cycle to 512 samples per cycle.
