<br />all representations of the Vendor included in Vendor's proposal, and the City's Request for <br />Proposals. If errors or deficiencies are discovered after the date of the formal acceptance <br />of the meters by the City, the Vendor warrants that it will correct the defects, without charge <br />to the City, for a period of four (4) years in accordance with the warranty attached to this <br />Agreement as Attachment A. <br /> <br />1.1.6 All services performed by or for the Vendor under this Agreement will be performed <br />on a timely basis, and in a good and workmanlike manner by persons having specialized <br />skill and knowledge as to the services being performed. <br /> <br />1.1.7 The City shall have quiet enjoyment of all software provided by the Vendor, and that <br />no change in the organization, structure or ownership of the Vendor shall in any way <br />interfere or diminish the City's use, possession and enjoyment of the software. <br /> <br />1.1.8 All training to be provided by the Vendor to the City in the use of the equipment and <br />related software provided by the Vendor under this agreement will be sufficient to enable <br />the City's staff to fully use the software for the City's intended purposes. <br /> <br />1.1.9 Any provisions in this Agreement pertaining to the City's review, approval and/or <br />acceptance of written materials prepared by Vendor in connection with this Agreement will <br />not diminish Vendor's responsibility for the materials. <br /> <br />The Vendor will: <br /> <br />1 .1.10 Designate Ron Davis as the single contact person assigned to coordinate <br />the Vendor's performance of obligations under this Agreement. Any changes to this <br />designation must be made by the Vendor in writing to the City. <br /> <br />1.1.11 Not subcontract any work under this Agreement without prior written approval from <br />the City. Any work or services subcontracted under this Agreement will be specified by <br />separate written Agreement and will be subject to each provision of this Agreement. <br /> <br />1.1.12 Perform all of its services in coordination with the City. The Vendor will advise the <br />City of any data and information the Vendor needs to perform its services, and the Vendor <br />will meet with City representatives at mutually convenient times to assemble this data and <br />information. <br /> <br />1.2 EQUIPMENT <br /> <br />The Vendor will provide the following equipment: <br /> <br />1.2.1 Twenty-one Electro Industries Revenue Metering Systems; NEXUS 1250 complete <br />with data logging capabilities for date/time stamping of all electrical values and waveform <br />capture; selectable by the City from 16 samples per cycle to 512 samples per cycle. The <br />systems include 4 megabytes of on-board memory; 2 megabytes allocated towards data <br /> <br />2 <br />
