<br />7.1.2 It is also understood that the CONSULTANT <br />will not supply a Resident Project Representative for <br />on-site work, or furnish construction line and grade <br />surveys unless the OWNER so instructs the CONSULTANT <br />in writing to do so. <br /> <br />ARTICLE 8 <br /> <br />CONTRACT NOT ASSIGNABLE <br /> <br />8.1.1 This contract shall not be assignable in <br />whole or in part without the consent of the OWNER. <br /> <br />ARTICLE 9 <br /> <br />TERMINATION OF CONTRACT <br /> <br />9.1.1 In connection with all the work outlined or <br />contemplated above, it is agreed that the OWNER or the <br />CONSULTANT may cancel or terminate this contract upon <br />thirty (30) day written notice to the other, with the <br />provision and understanding that immediately upon receipt <br />of notice of such cancellation from either party to the <br />other, all work and labor being performed under this <br />contract shall immediately cease, pending final cancell- <br />ation at the end of such thirty-day period, and further <br />provided that the CONSULTANT shall be compensated for <br />Costs plus fixed fee representing the value of all work <br />accomplished by him prior to the receipt of notice of <br />such termination. <br /> <br />ARTICLE 10 <br /> <br />VENUE <br /> <br />10.1.1 Venue and jurisdiction of any suit, right <br />of cause of action arising under or in connection with <br />this contract shall lie exclusively in Hays County, Texas. <br /> <br />-11- <br />
