<br />meetings provided for in the scope of work are properly scheduled and held <br />as determined by the Executive Committee. The Executive Committee shall <br />have final determination as to whether the meetings have been properly <br />scheduled and held. The CITY, at the discretion of the City Manager, may <br />require that the CONSULTANT supply the CITY with quarterly progress reports <br />of the work done and of the work still to be completed. <br />III. COMPENSATION TO THE CONSULTANT <br />A. The CONSULTANT shall be compensated for professional services as <br />outlined in Section I, hereinabove, for a total lump sum of $ 22,617. The <br />CONSULTANT may submit requests monthly for partial payments based on the <br />amount of work completed with such amounts to be due and payable 20 days <br />after receipt by the CITY. It is agreed by the parties hereto that <br />portions of the cost of the project contemplated by this contract are an <br />eligible expense under the Housing and Community Development Act for which <br />the CITY has made application under State Clearing House Identifier Number <br />B-79-HS-48-0505; however, the performance of this contract and the <br />obligations thereunder of both parties shall not be contingent upon receipt <br />of federal assistance. <br /> <br />IV. TERMINATION AND AMENDMENTS <br />A. Failure to Perform: If through any cause, the CITY feels that <br />the CONSULTANT has failed to fulfill in a timely and proper manner its <br />obligations under this contract, or if the CITY feels that the CONSULTANT <br />has violated any of the covenants, agreements or stipulations of this <br />contract, the CITY shall notify the CONSULTANT in writing of its alleged <br />failure or violation, and CONSULTANT shall have 30 days after the date of <br />such notice to cure or correct such defect or failure. Should CONSULTANT <br />fail to do so, CITY may then, at its option, terminate this contract. In <br /> <br />4 <br />
