<br />cluding reasonable attorney's fees, and expenses arising out of <br /> <br /> <br />or resulting from services provided under the terms of this <br /> <br /> <br />agreement provided that any such claim is caused in whole or in <br /> <br /> <br />part by any negligent act or omission of College, anyone direct- <br /> <br />ly or indirectly employed by College or anyone for whose acts <br /> <br />College may be liable, regardless of whether it is caused in part <br /> <br /> <br />by City. <br /> <br />v. <br /> <br /> <br />College shall at all times during the term of this Agreement <br /> <br /> <br />maintain professional malpractice insurance on all persons under <br /> <br /> <br />the direction or control of college providing services under the <br /> <br />terms of this Agreement. <br /> <br />VI. <br /> <br /> <br />This Agreement may be amended at any time by mutual consent <br /> <br /> <br />of the parties, such amendment to be in writing, signed by both <br /> <br /> <br />parties and attached hereto. <br /> <br />VII. <br />This Agreement is for a term of four months from the date of <br />execution. <br /> <br />VIII. <br /> <br /> <br />Either party may terminate this Agreement upon the giving of <br /> <br /> <br />written notice to the other party. Termination shall be effec- <br /> <br /> <br />tive upon receipt of said written notice. <br /> <br />IX. <br /> <br /> <br />Any word, group of words, phrase, sentence, paragraph or <br /> <br />provision herein prohibited by law, or decision by a court of <br /> <br />final jurisdiction shall be ineffective to the extent of such <br /> <br /> <br />prohibition without invalidating the remaining provisons hereof. <br /> <br />X. <br /> <br /> <br />The foregoing instrument in writing constitutes the entire <br /> <br /> <br />Agreement herein, there being no other written or parole agree- <br /> <br />ment with any officer or employee of City. <br /> <br />Executed in Duplicate Originals this 11th day of May <br /> <br /> <br />A.D. 1982. <br />
