<br />I <br /> <br />9. Disputed Transactions and Reversed POS Transactions <br /> <br />9.1 You understand and agree that Consumer has certain rights by law, as <br />well as under NACHA Rules and Visa Rules, to dispute pas <br />Transactions. You understand and agree that the depository institution for <br />a Consumer's Account may process a Reversed pas Transaction in <br />accordance with the service descriptions in Sections 4 through 6. The <br />amount of any Reversed pas Transaction is immediately due us from <br />you. We may automatically debit the Deposit Account or take any other <br />action allowed under the Agreement for amounts due us from you in order <br />to collect the amount of the disputed or Reversed pas Transaction, plus <br />any applicable fees. <br /> <br />9.2 You will cooperate with us to resolve any disputed or Reversed pas <br />Transactions, including but not limited to providing copies of the <br />Transaction Receipt and documentation of the sale. IfNACHA or Visa <br />Rules permit you to dispute the Reversed pas Transaction, you must <br />submit your dispute to us following those Rules or our procedures within <br />the time specified. <br /> <br />kl <br /> <br />10. Merchant Security Procedures <br /> <br />You will take responsible security precautions to prevent unauthorized or <br />fraudulent use of the Bank System and the Electronic Check Service by you, <br />your employees, agents, customers or Consumers. We may, but are not <br />required to, assign to you one or more identification numbers and passwords <br />for your use with the Electronic Check Service. In the event such identification <br />number(s) or password(s) have been assigned and validated, the use and <br />confidentiality of such number(s) and password(s) is your sole responsibility. <br />We do not assume any responsibility to discover any possible breach of your <br />security. You will notify us immediately if you discover any breach of the Bank <br />System. <br /> <br />11. POS Terminal and Communication Services <br /> <br />11.1 You will use only pas Terminals approved for use in the Electronic <br />Check Service by us. We will provide appropriate software and may <br />provide POS Terminals for use with the Electronic Check Services at the <br />fees described in the Fee Schedule. <br /> <br />11.2 You are solely responsible for the maintenance of pas Terminals, any <br />additional communication services or equipment at your locations, as well <br />as the telecommunications lines and equipment necessary to transmit data <br />between you and Bank System or any third party whose services are used <br />in conjunction with the Electronic Check Service. <br /> <br />9 <br /> <br />
