<br />I <br /> <br />12. Fees, Charges, Payments to Us <br /> <br />12.1 You will pay the fees and charges related to the Electronic Check Service <br />in accordance with the Fee Schedule. All fees and charges under this <br />Addendum are Processing Fees under the Agreement and are subject to <br />change in accordance with the provisions of the Agreement. <br /> <br />12.2 You will pay to us immediately the amount of a Reversed POS <br />Transaction, Chargeback or fine from the Card Organization related to <br />your use of the Electronic Check Service. <br /> <br />12.3 We may apply all of our rights and the security interest provided in the <br />Agreement to amounts due under this Addendum, including, but not <br />limited to, debiting amounts owed to us from the Deposit Account. <br /> <br />12.4 To the extent we have paid or may pay a disputed or Reversed POS <br />Transaction, you are obligated to reimburse us. In the event you do not <br />reimburse us, we will have all the rights and remedies and may assert <br />Claims on behalf of one or more Consumers. <br /> <br />13. Termination <br /> <br />13.1 This Addendum will become effective on the date both parties have <br />signed it. You must notify us in writing at least 30 calendar days prior to <br />any material change in your business, including without limitation: any <br />change in your name, location or method of operation, including <br />percentage ofmaiVphone order and Internet transactions; any material <br />increase or decrease in your sales volume; any material change in <br />ownership of your business; any sale, assignment, rental, lease or transfer <br />of ownership of any location that accepts Cards; any going-out-of- <br />business sale; or any change in any information required under this <br />Agreement or in your Application. This Addendum will remain in effect <br />until the earlier of (a) termination of the Agreement or (b) termination of <br />the Electronic Check Service only. <br /> <br />I <br /> <br />13.2 Either party may terminate this Addendum by notice to the other, in <br />writing, at least 30 days prior to the effective date. Any such notice of <br />termination of the Electronic Check Service only, and not affecting the <br />other merchant services, must explicitly state the limited service <br />termination. <br /> <br />10 <br /> <br />I <br />
