<br />4.5 You warrant that each POS Transaction is a bona fide sale of goods or <br />services or both by you; represents a valid obligation for the amount <br />shown on the Transaction Record; was made with the full and proper <br />authorization of the Consumer; and is for a consumer pwpose. You further <br />warrant that the POS Transaction is not known to be fraudulent or <br />uncollectible. You further warrant that the POS Transaction represents a <br />sale of goods and services by you to Consumer and does not involve any <br />transaction with a third party. For the pwposes ofthis Section 4.5, <br />"transaction with a third party" includes transactions between a franchisee, <br />partner,.mdependent contractor or joint venturer of yours and a consumer. <br /> <br />I <br /> <br />4.6 You warrant the validity and accuracy of the amount of each POS <br />Transaction. <br /> <br />4.1 You will not use the Visa name or any Visa mark in your communications <br />with Consumers, unless approved in advance in writing by us. <br /> <br />4.8 You will maintain the POS Terminal in good working condition. You must <br />notify us immediately of any apparent failure or malfunction of, or damage <br />to, any equipment provided by us. You will pay for all maintenance or <br />repairs required as a result of your negligence or misuse of equipment. <br /> <br />4.9 You will advise us of each POS location that uses the Electronic Check <br />Service, and will not move a POS Terminal to a different POS or other <br />location without our prior written approval. <br /> <br />I <br /> <br />5. Conversion Only Service <br /> <br />You understand and agree that the Conversion Only Service involves the <br />minimum amount of review for Authorization. Your acceptance of a Conversion <br />Only Service allows for the speedy conversion of a Check to an electronic debit. <br />Payment to you is subject to the possibility of Reversed POS Transaction based <br />on a Claim. In the case of a Reversed POS Transaction, you may make <br />appropriate collection efforts directly with the Consumer. <br /> <br />9 <br /> <br />I <br />
