<br />I <br /> <br />I <br /> <br />I <br /> <br />205. <br /> <br />PROFESSIONAL ENGINEERING AGREEMENT FOR <br />THE RIO VISTA DAM MAINTENANCE <br />AND WHITEW ATER IMPROVEMENTS PROJECT <br /> <br />This Agreement is made this the 8th day of March ,2006, between the City <br />of San Marcos, Texas ("City"), 630 East Hopkins, San Marcos, Texas 78666 and Halff <br />Associates, Inc. ("Engineer") 1421 Wells Branch Parkway, Suite 104, Austin, Texas 78660, for <br />the provision of professional engineering services in connection with the Rio Vista Dam <br />Maintenance and Whitewater Improvements Project (the "Project"). <br /> <br />The City and the Engineer agree as follows: <br /> <br />ARTICLE 1 <br />ENGINEER'S SERVICES AND RESPONSIBILITIES <br /> <br />1.1 PROJECT DESCRIPTION AND COORDINATION; STANDARDS OF <br />PERFORMANCE; ENVIRONMENTAL SENSITIVITY <br /> <br />1.1.1 Engineer will be responsible for the proper, accurate and adequate design and preparation <br />of plans and specifications and other construction contract documents and for construction <br />administration for the Project. <br /> <br />1.1.2 The Project generally consists of: A) the stabilization of the existing Rio Vista Dam <br />structure and construction of three white water "drops" within the channel of the San Marcos <br />River in the vicinity of the Rio Vista Dam to reduce and disperse the current erosive flow <br />condition below the Rio Vista Dam (the "Instream Work"), and B) the stabilization, reshaping, <br />and improvement of the banks of the San Marcos River in the area of Rio Vista Dam (the "Bank <br />Work"). Halff is the Engineer for developing plans and specifications and other construction <br />contract documents for the Bank Work portion of the Project, and for construction administration <br />for the Bank Work Portion of the Project. The City has retained Recreation Engineering and <br />Planning ("REP") to provide consulting services related to the Instream Work portion of the <br />Project. <br /> <br />1.1.3 The City has coordinated preliminary aspects of the design and construction of the Project <br />with the Engineer, with REP, and with KBR and with Greenway, Inc., the construction <br />contractors the City expects to engage to perform the construction work on the Project. The <br />Engineer fully understands and acknowledges that the successful completion of the Project WIll <br />require a high degree of cooperation and coordination between the Engineer, the consultant <br />selected by the City for the Instream Work portion of the Project, and the construction <br />contractors engaged by the City to perform the construction work on the Project. The City <br />anticipates that the Instream Work and the Bank Work will each be performed by a single <br />construction contractor under two separate construction contracts. The City reserves the right, <br />however, to prosecute the work in the manner which is most beneficial to the City. In providing <br />its services, the Engineer agrees to provide a high level of cooperation and coordination with all <br />parties involved in the design and construction process for the Project, to ensure that regardless <br />Ham Prof, Services <br /> <br />1 <br />
