<br />154 <br /> <br />AGREEMENT FOR LEASE OF PREMISES <br /> <br />THIS AGREEMENT is made this 23rd day of February, 1999, by the CITY OF SAN <br />MARCOS (the "City"), 630 East Hopkins Street, San Marcos, Texas 78666, and PEDERNALES <br />ELECTRIC COOPERATIVE INC. ("PEC"), P.O. Box 467, Johnson City, Texas 78636-0467. <br /> <br />In consideration of the mutual covenants to be performed, the parties hereto agree as follows: <br /> <br />1. DESCRIPTION OF LEASED PREMISES: The City leases, demises and lets to PEC a) the <br />ground area of approximately 150 square feet (the "Leased Premises") described on the attached <br />Exhibit "A" situated within the City's Ranch Road 12 Electric Substation (the "Substation") located <br />adjacent to Ranch Road 12 in Hays County, Texas, and b) a limited portion ofthe capacity of the <br />City's transformer at the Substation. <br /> <br />2. TERM: The term of this lease is for three months beginning on the 1 st day of March, 1999. <br />This lease will automatically renew for three-month periods thereafter unless either party notifies the <br />other at the inception of such a renewal period of its intention to terminate this lease at the end of <br />the renewal period. <br /> <br />3. RENTAL: $ 1,100.00 per month, payable by PEC to the City at the City's Finance <br />Department, 630 East Hopkins Street, San Marcos, Hays County, TX 78666. <br /> <br />4. USE OF THE LEASED PREMISES: PEC shall use the Leased Premises solely for the <br />transfer from LCRA of no more than 7,000 KW of electrical power per month during the months <br />from October through April, and no more than 4,000 KW of electrical power per month during the <br />months from May through September. The Leased Premises shall not be used by PEC for any other <br />purpose or activity without the written consent ofthe City. <br /> <br />5. UTILITIES: PEC shall promptly pay all charges for utility services related to PEC's use of <br />the Leased Premises. <br /> <br />6. INDEMNIFICATION AND INSURANCE: <br /> <br />a. PEC shall indemnify, defend and hold City harmless from any and all claims <br />(including attorney's fees) for personal injuries or property damage related to PEC's use ofthe Leased <br />Premises. <br /> <br />b. PEC shall maintain commercial general liability , motor vehicle liability and worker's <br />compensation insurance covering its operations on the Leased Premises. PEC shall provide <br />certificates of insurance to the City at the City's request. <br /> <br />7. ASSIGNMENT AND SUBLETTING: PEC may not assign this Lease or sublet the Leased <br />Premises. <br />
