<br />I <br /> <br />I <br /> <br />I <br /> <br />23. <br /> <br />PROFESSIONAL ARCHITECTURAL SERVICES AGREEMENT <br /> <br />This Agreement is made this the 19th day of April , 2006, between the City <br />of San Marcos, Texas ("City"), 630 East Hopkins, San Marcos, Texas 78666 and Lohmeyer- <br />Russell, Inc. ("Project Architect"), 300 John Q. Hammons Parkway, Suite 506, Springfield, <br />Missouri 65806 for the provision of services in connection with the City of San Marcos <br />Conference Center Project (the "Project"). <br /> <br />The City and the Project Architect agree as follows: <br /> <br />ARTICLE 1 <br />PROJECT ARCHITECT'S SERVICES AND RESPONSIBILITIES <br /> <br />1.1 BACKGROUND; STANDARDS OF PERFORMANCE <br /> <br />1.1.1 The Project generally consists of a one story conference center facility approximately <br />80,000 square feet in size that is joined to a new Embassy Suites Hotel being constructed <br />adjacent to the Project by JQH Development San Marcos, LLC ("JQH"). The conference center <br />will include a large main ballroom, junior ballroom, rooms, restroom facilities, kitchen facilities, <br />mechanical room, storage rooms, pre-convene areas, etc. for a complete and functional <br />conference center. Utilities for the conference center will be separate from the hoteL The site <br />for the overall hotel and conference center development will be approximately 15 acres. <br /> <br />1.1.2 The Project Architect will be responsible for the design, and for preparation of plans and <br />specifications and other contract documents, and for construction administration for the Project. <br />The Project Architect's services include architectural, engineering and construction <br />administration services for the Project. <br /> <br />1.1.3 The City intends to use a "Design-Build" process as described in Section 271.119 of the <br />Texas Local Government Code for the construction of the Project. The City and the Project <br />Architect anticipate that the City will assign this Agreement to the design-build contractor (the <br />"Contractor") selected by the City for the Project, with the assignment to occur upon the City's <br />execution of the design-build contract with the Contractor. From and after the date of the <br />assignment, the Project Architect will provide the remainder of its services under this Agreement <br />to the City under the design-build contract between the City and the Contractor, and the <br />Contractor will assume responsibility for payment for the Project Architect's remaining services. <br /> <br />1.1.4 The City has engaged the firm of Broaddus & Associates (the "Owner Representative") to <br />perform owner's representative services in connection with the design and construction of the <br />Project. The Project Architect understands that it will be expected to cooperate to the fullest <br />extent possible with the Contractor, the Owner Representative, and representatives of JQH in <br />order to ensure that the Project is designed, constructed, and completed so that the overall hotel <br />and conference center development is functional and durable. <br /> <br />1.1.5 The Project Architect's Basic Services consist of the services described in Sections 1.1 <br />through 1.3 and include services to be performed through the following consulting disciplines as <br /> <br />1 <br />
