!- I I I I I I '1 AGREEMENT Page 3 Revisions to Drawings and Specifications The Consultant will make without expense to the City such reV1Slons of the preliminary drawings, reports or other documents as may be required to meet the needs of the City, but after the plans and specifications and other documents required by the design phase have been accepted and approved by the City, any revisions, additions, or other modifications made at the City's request which involves extra services and expense to the Consultant shall be subject to addi- tional compensation to the Consultant for such extra services and expenses at a mutually agreed to price set in advance of the alteration; or if no mutual agree- ment is concluded, then the extra expense and services shall be paid to the Con- sultant at a salary cost plus one hundred per cent (100%) plus reimbursement for other direct costs. Ownership of Documents All documents including the original drawings, estimates, specifications, field notes and data, will remain the property of the Consultant as instruments of service. However, it is to be understood that the City shall have free access to all such information with the right to make and retain copies of draw- ings and all other documents including field notes and data. This in no way excuses the Consultant from furnishing the City with plans corrected to the ac- tual project as constructed and heretofore referred to as "as-built" plans. Consultant's Warranty The Consultant warrants that he has not employed or retained any company or person other than a bona fide employee working solely for the Consultant to soli- cit or secure this contract, and that he has not paid or agreed to pay any com- pany or person, other than a bona fide employee working solely for the Consultant, any fee, commission, percentage, brokerage fee, gifts, or any other consider- ation, contingent upon or resulting from the award or making of this contract. For breach or violation of this warranty, the City shall have the right to annul this contract without liability. Claims Against the City Consultant hereby agrees to comply with all Federal, State, and local laws and ordinances applicable to the work or services under this contract. Assignment or Transfer of Interests Consultant shall not assign or transfer his interest in this contract without the written consent of the City. Nothing herein shall be construed as creating any personal liability on the part of any officer, agent or employee of the City. This instrument has been executed on behalf of the above named Consultant and on behalf of the City in two counterparts each of equal force, on the day and year first above written.
