<br />Facilities to Poles, dated as of 0 l/Ol/89, covering the area of San Marcos, TX,
<br />between you ("Consenting Party") and Karnack Cable Company, predecessor to TCI
<br />Cablevision of Texas, Inc. (the "Agreement")
<br />
<br />Ladies and Gentlemen:
<br />
<br />TCI Cablevision of Texas, Inc. has entered into an Asset Exchange Agreement, dated as of
<br />November 25, 1998 (the "Exchange Agreement"), pursuant to which TCI Cablevision of Texas, Inc.
<br />will convey to Time Warner Entertainment-Advance/Newhouse Partnership certain of the assets of TCI
<br />Cablevision of Texas, Inc., including its rights under the Agreement.
<br />
<br />The purpose of this letter is to request the consent of Consenting Party to the assignment by
<br />TCI Cablevision of Texas, Inc. of all its right, title and interest in and under the Agreement to Time
<br />Warner Entertainment-Advance/Newhouse Partnership. The assignment to Time Warner
<br />Entertainment-Advance/Newhouse Partnership will be effective as of the date of consummation of the
<br />Exchange Agreement (the "Effective Date"). Upon such assignment, Consenting Party automatically
<br />shall be deemed to have released TCI Cablevision of Texas, Inc. from all of its obligations and
<br />liabilities under the Agreement attributable to the period from and after the Effective Date; Time
<br />Warner Entertainment-Advance/Newhouse Partnership, has agreed to accept such assignment and to
<br />pay, discharge, and perform all of the obligations and liabilities of TCI Cablevision of Texas, Inc. under
<br />the Agreement attributable to the period after the Effective Date. TCI Cablevision of Texas, Inc. shall
<br />remain r~sponsible for all obligations and liabilities attributable to the period preceding the Effective
<br />Date.
