<br />(c) Negotiation of coverages and rates with insurance companies. <br /> <br />(d) Completion of reports and payment of premiums from the Plan to the <br />insurance companies. <br /> <br />(e) Provide periodic reports summarizing Plan expenditures. <br /> <br />(t) Make available necessary data required for regulatory disclosure information <br />compliance. <br /> <br />(g) Provide claim review, examination, and benefit payments, in accordance with <br />the Plan Document. <br /> <br />(h) Maintain the Plan checking account, and all necessary records for the Plan. <br /> <br />The Claims Administrator will provide advice to the Company from time to time <br />regarding the design of the Plan at the Company's request. The design ofthe Plan and the <br />benefits, the determination of applicable law, and the determination for the need of any <br />trust, however, will be done solely by the Plan Administrator. In turn, the Claims <br />Administrator will provide its services based on the Plan and any trust adopted by the <br />Company and designed by the Plan Administrator. <br /> <br />2.2 The Claims Administrator is authorized to do all things it deems necessary to carry out <br />the terms and purpose of this Agreement, including the execution of documents in the <br />name of the Plan. However, the Claims Administrator shall not be deemed to be a <br />fiduciary of the Plan, and this Agreement shall not confer or delegate upon the Claim <br />Administrator any discretionary authority or responsibility with respect to control, <br />administration, or management of the Plan or its assets. All discretionary authority <br />regarding any eligibility, coverage, interpretations or any other aspect of the Plan is with <br />the Plan Administrator. The Claims Administrator is not an insurance company and does <br />not accept risks associated with any policies of insurance. The Claims Administer <br />accepts responsibility for compliance with administration of claims duties as defined in <br />the excess loss reinsurance treaty of American National Insurance Company effective <br />August 1, 1999. <br /> <br />2.3 The Claims Administrator, at the request of the Plan Administrator, shall actively solicit <br />stop loss insurance providers to participate in the Company's procurement processes for <br />stop loss insurance products. <br /> <br />The Claim Administrator, at the request and written approval of the Plan Administrator, <br />shall obtain additional products or services from providers unrelated to the Claims <br />Administrator for purposes of providing appropriate products or professional services that <br />are not within the scope of the duties of the Claims Administrator. At the request of the <br />Plan Administrator, the Claims Administrator shall perform a centralized billing service <br />for expenses related to such products or professional services and remit fees or premiums <br /> <br />2 <br />
