<br />spills and other releases of hazardous chemical substances and wastes on and adjacent to the Leased <br />Premises for which the Lessee is responsible under applicable laws. <br />14. Indemnification: <br />Lessee agrees to hold harmless, indemnifY and defend Lessor, and its officers, agents and employees <br />from and against all losses, claims, liens, demands and causes of action of every kind including, but <br />not limited to, the amounts of judgments, consequential and/or incidental damages, penalties, <br />interest, court costs, legal fees and all other expenses arising out of Lessee's use of the Leased <br />Premises under this Agreement. Lessee agrees to investigate, respond to, and defend any such <br />claims, demands, or suits at the sole expense of Lessee. The indemnity required by this Agreement <br />shall not be limited by reason of the specification of any particular insurance eoverage in this <br />Agreement. Lessee further agrees to obtain from its contractors, subcontractors, and consultants the <br />same indemnification in writing of Lessor as stated above. <br />15. Insurance: <br />a. The Lessee shall, at its own expense, purchase and maintain insurance to protect itself and <br />Lessor from claims which may arise out of its operations under this Agreement, whether the <br />operations are by itself or by any subcontractor or by anyone directly or indirectly employed <br />by any of them or by anyone for whose acts any of them may be liable. The amounts of <br />insurance coverage shall be at least the following: <br />(1) Workers' compensation insurance - statutory limits. <br />(2) Commercial general liability insurance - $500,000/$1,000,000/$500,000 or <br />$1,000,000 combined single limit. <br />b. The insurance coverage carried by Lessee shall be written so that the Lessor will be notified <br />in writing, in the event of cancellation, restrictive amendment or non-renewal at least 30 days <br />prior to the action. The coverage shall also include a waiver of all of Lessee's rights of <br />subrogation against Lessor, except as to the workers' compensation coverage. Certificates <br />of Insurance shall be filed with the Lessor on an annual basis prior to the expiration of the <br />current insurance policy and are subject to Lessor's prior approval. <br />c. The eeneralliability insurance coverage required by this Agreement shall be written <br />with the City of San Marcos. Texas. as additional insured.
