PROFESSIONAL VETERINARY SERVICES AGREEMENT <br />This Agreement is effective as of May 1, 2012 between the City of San Marcos, Texas, <br />(the "City "), 630 East Hopkins, San Marcos, Texas 78666 and Hays County Animal Hospital, <br />dba Animal Care Center of Hays County (the "Veterinarian "), 2206 Hunter Road, San Marcos, <br />Texas 78666, for the provision of veterinarian services (the Services "). The City and the <br />Veterinarian agree as follows: <br />ARTICLE 1 <br />VETERINARIAN'S SERVICES AND RESPONSIBILITIES <br />1.0 STANDARDS OF PERFORMANCE <br />1.0.1 The Veterinarian will be responsible for the satisfactory performance of all the veterinary <br />services it provides under this Agreement. The Veterinarian's Basic Services generally includes <br />the performance of various medical procedures for animals under the care and supervision of the <br />City of San Marcos Animal Shelter (the "Shelter "). These Services are more specifically <br />described in Subsection 1.1 and the Veterinarian will perform these Services utilizing the <br />following veterinarians as subconsultants: <br />1) Springtown Veterinary Hospital <br />2) Tickle -Blagg Animal Hospital <br />1.0.2 The Veterinarian will not subcontract any work under this Agreement without prior <br />written approval from the City. The Veterinarian will specify any work or services <br />subcontracted under this Agreement by separate written agreement and that agreement will be <br />subject to each provision of this Agreement. The Veterinarian will insure that any veterinarian <br />subconsultant providing services under this Agreement will indemnify the City and provide the <br />required insurance in accordance with Article 8, Insurance and Indemnity of this Agreement. <br />1.0.3 The Veterinarian certifies that it and its subconsultants are licensed by the State Board of <br />Veterinary Medical Examiners to practice veterinary medicine in the State of Texas and that, in <br />performing all services under this Agreement; the Veterinarian will use the highest degree of <br />care and skill normally exercised by professional licensed Veterinarians. <br />1.0.4 Any provisions in this Agreement pertaining to the City's review, approval and/or <br />acceptance of written materials prepared by the Veterinarian and/or its subconsultants, in <br />connection with this Agreement will not diminish the Veterinarian's responsibility for the <br />materials. <br />1.0.5 The Veterinarian will perform all of its services in coordination with the City. The <br />Veterinarian will advise the City of data and information the Veterinarian needs to perform its <br />services and the Veterinarian will meet with City representatives at mutually convenient times to <br />assemble this data and information. <br />1 <br />
