OUTDOOR SIREN WARNING SYSTEM AGREEMENT <br />This Agreement is effective June 5, 2012 between the City of San Marcos, Texas, (the <br />"City"), 630 East Hopkins, San Marcos, Texas 78666 and American Signal Corporation, 8600 <br />W. Bradley Road, Milwaukee, Wisconsin 53224 (the "Contractor "), for the provision of a turn- <br />key Outdoor Siren Warning System (the "System "). <br />The City and the Contractor agree as follows: <br />ARTICLE 1 <br />CONTRACTOR'S STANDARD OF PERFORMANCE AND BASIC SERVICES <br />1.0 STANDARDS OF PERFORMANCE <br />1.0.1 The Project generally includes the Contractor's provision of the goods and services <br />necessary for the turnkey installation of the System. The Contractor certifies that the System is a <br />turn -key system and includes the provision of all sirens, poles, control equipment, computer <br />hardware and software, wiring, cables (including wiring for power from the electrical service to <br />the equipment) and any other associated appurtenance (the "Goods "), necessary for the control <br />and operation of the System. In addition, the System includes the Contractor's installation, <br />implementation and extended warranty of the component parts of the System (the "Services "). <br />The Contractor understands that the System is intended to provide siren system coverage to all <br />geographic areas within the San Marcos city limits. The System will be utilized by the City, for <br />the purpose of establishing an early warning siren system to notify the citizens of the City of San <br />Marcos of impending, potentially hazardous or catastrophic events. <br />1.0.2 The Contractor will use the highest degree of skill and care in performing its services <br />under this Agreement and all services performed by or for it under this Agreement will be <br />performed on a timely basis and in a good, professional, and workmanlike manner by persons <br />having specialized skill and knowledge as to the services being performed. The performance of <br />all services by the Contractor in connection with this Agreement will be by persons appropriately <br />trained, licensed, registered or certified under State, local and federal laws as appropriate. The <br />Contractor certifies that it is a manufacturer or other firm authorized by, or has a close working <br />relationship with an equipment manufacturer and that it provides goods and services of the <br />nature described in this Agreement in its normal and customary course of business. The <br />Contractor understands that the City, compared to the Contractor is relatively unfamiliar with the <br />types of goods and services required under this Agreement and that in executing this Agreement <br />the City relies on the Contractor's superior knowledge of these types of products, equipment and <br />Services. <br />1.0.3 The Contractor will utilize the services of Charter Oak Communications for the <br />Outdoor Siren Warning System Agreement 6/2012 <br />I <br />
