installation of the System. The Contractor will not subcontract any additional work under this <br />Agreement without prior written approval from the City. The Contractor will specify any work <br />or services subcontracted under this Agreement by separate written Agreement and that <br />Agreement will be subject to each provision of this Agreement. <br />1.0.4 Any provisions in this Agreement pertaining to the City's review, approval and/or <br />acceptance of work performed or written materials prepared by the Contractor and/or its <br />subconsultants, contractors, and subcontractors in connection with this Agreement will not <br />diminish the Contractor's responsibility for the materials or work. <br />1.0.5 The Contractor will perform all of its Services in coordination with the City. The <br />Contractor will advise the City of data and information the Contractor needs to perform its <br />Services and the Contractor will meet with City representatives at mutually convenient times to <br />assemble this data and information. <br />1.0.6 Tyson Lynch, Project Manager is the Contractor's Project Manager who has full <br />authority to act on the Contractor's behalf regarding all aspects of the System including delivery, <br />installation, implementation and training as well as related warranty services for a minimum of <br />five (5) years after the City's acceptance. The Project Manager is the primary source of contact <br />for the City and is designated as the Contractor's representative most responsible for ensuring <br />accurate and effective implementation of its Services under this Agreement. Chris Roller, Sales <br />Manager, is the Contractor's secondary contact in the absence or unavailability of Tyson Lynch. <br />The Contractor will not substitute another representative for this Project unless approved in <br />writing by the City in advance of such proposed substitution. In the event the City and the <br />Contractor cannot agree to the substitution of the Project Manager, the City may terminate this <br />agreement in accordance with Article 7. <br />1.1 GENERAL SPECIFICATIONS <br />The Contractor is responsible for these General Specifications as stipulated in this <br />Agreement and described in detail in the City's Request for Proposal ( "RFP ") #212 -006 and the <br />Contractor's Response to RFP #212 -006. The Contractor will: <br />General Requirements: <br />1.1.1 Furnish all goods and Services, for the installation of a turn-key System. Any apparatus, <br />appliance, material or labor that may be necessary to complete the work, in accordance with the <br />intent or purpose of the City's RFP will be furnished by the Contractor, including the provision <br />of permits, at no additional expense to the City. The Contractor will use commercially available <br />items as they are available. All equipment or components utilized by the Contractor will <br />conform to all United States Governmental requirements to include the Federal Emergency <br />Management Agency's ( "FEMA ") "Outdoor Public Alerting System Guide" 2006 and OSHA <br />Outdoor Siren Warning System Agreement 6/2012 <br />2 <br />
