<br />Section 7.2 Inspection and Copving. The Agency's books and records shall be subject to <br />applicable provisions of the State Public Information Act, Chapter 552, as amended, Texas <br />Government Code (the "Public Information Act"). The Board of Directors may establish policies <br />and reasonable fees for providing access to and copying of the Agency's books and records in <br />accordance with the Public Information Act. <br /> <br />I <br /> <br />ARTICLE VIII <br />DISSOLUTION <br /> <br />In the event of dissolution of the Agency, any interest in any funds or property of any kind, <br />real, personal or mixed, held by the Agency, shall not be transferred to private ownership, but upon <br />such dissolution, the Board shall, after paying or rnaking provision for payrnent of the Agency's <br />pecuniary obligations and liabilities, distribute ownership ofthe Agency's rernaining assets to each <br />Sponsor proportionally in accordance with the percentage of the water of the Agency that each <br />Sponsor has contracted to take in the fiscal year irnmediately preceding the date of dissolution. <br /> <br />ARTICLE IX <br />NOTICES <br /> <br />Section 9.1 Delivery of Notice. Subject to Section 4.12, any notice required or permitted <br />by these Bylaws to be given to a Director, officer, or rnember ofa committee of the Agency rnay be I <br />given in person or by facsimile, mail, or electronic mail. If rnailed, a notice shall be deerned to be <br />delivered when deposited in the United States mail addressed to the person at his or her address as it <br />appears on the records ofthe Agency, with postage prepaid. If transmitted by facsimile or electronic <br />mail, notice is deemed to be delivered on successful transmission ofthe facsimile or electronic mail. <br />A person may change his or her contact information by giving written notice to the secretary of the <br />Agency. <br /> <br />Section 9.2 Signed Waiver of Notice. Whenever any notice is required to be given under <br />the provisions of these Bylaws, a waiver in writing signed by a person entitled to receive a notice <br />shall be deerned equivalent to the giving of the notice. A waiver of notice shall be effective whether <br />signed before or after the time stated in the notice being waived. <br /> <br />Section 9.3 Waiver of Notice bv Attendance. The attendance of a person at a rneeting <br />shall constitute a waiver of notice ofthe meeting unless the person attends for the express purpose of <br />objecting to the transaction of any business because the meeting is not lawfully called or convened. <br /> <br />ARTICLE X <br />MISCELLANEOUS PROVISIONS <br /> <br />Section 10.1 Fiscal Year. The fiscal year ofthe Agency shall begin October 1 of each year. <br /> <br />Section 10.2 Seal. The seal of the Agency shall be such as from tirne to tirne may be <br />approved by the Board. <br /> <br />I <br /> <br />Section 10.3 Resignations. Any Director, officer or Advisory Director may resign at any <br />time. Such resignations shall be made in writing and shall take effect at the time specified therein, <br /> <br />-9- <br />
