The acceptance <br />of a resignation shall not be necessary to make it effective, unless expressly so provided in the <br />resignation. <br /> <br />Section 10.4 Gender. References herein to the rnasculine gender shall also refer to the <br />feminine in all appropriate cases and vice versa. <br /> <br />Section 10.5 Appropriations and Grants. The Agency shall have the power to request and <br />accept any appropriation, grant, contribution, donation, or other form of aid from the federal <br />government, the State, any political subdivision, or municipality in the State, or from any other <br />source. <br /> <br />Section 10.6 Legal Authorities Governing Construction of Bvlaws. These Bylaws shall be <br />construed in accordance with the laws of the State of Texas, including the Act, the Open Meetings <br />Act, and the Public Information Act. All references in these Bylaws to statutes, regulations, or other <br />sources of legal authority shall refer to the authorities cited, or their successors, as they may be <br />arnended frorn time to tirne. <br /> <br />I <br /> <br />Section 10.7 Legal Construction. If any Bylaw provision is held to be invalid, illegal, or <br />unenforceable in any respect, the invalidity, illegality, or unenforceability shall not affect any other <br />provision, and these Bylaws shall be construed as if the invalid, illegal, or unenforceable provision <br />had not been included in the Bylaws. <br /> <br />Section 10.8 Headings. The headings used in these Bylaws are used for convenience and <br />shall not be considered in construing the terms of these Bylaws. <br /> <br />Section 10.9 Power of Attornev. A person rnay execute any instrument related to the <br />Agency by means of a power of attorney if an original executed copy of the power of attorney is <br />provided to the secretary of the Agency to be kept with the Agency records. <br /> <br />Section 10.10 Parties Bound. These Bylaws shall be binding upon and inure to the benefit <br />of the Directors, officers, committee members, employees, and agents of the Agency and their <br />respective heirs, executors, administrators, legal representatives, successors, and assigns, except as <br />otherwise provided in these Bylaws. <br /> <br />Section 10.11 Approval or Advice and Consent of the Governing Bodv. To the extent that <br />these Bylaws refer to approval by the Sponsors or refer to advice and consent by the Sponsors, such <br />approval or advice and consent shall be evidenced by a certified copy of a resolution, order, rnotion, <br />or other official action duly adopted by each of the Sponsors. <br /> <br />I <br /> <br />Section 10.12 Organization Control. The Sponsors may, at their sole discretion, at any time, <br />alter the nature, organization, programs or activities ofthe Agency (including the power to terminate <br />the Agency), subject to any limitation on the irnpairment of contracts entered into by the Agency. <br /> <br />-10- <br />
