<br /> All other times of use for the Athletic Field are expressly reserved by the Licensor. <br /> However, the Director of the Licensor's Parks and Recreation Department may authorize <br /> (1) deviations from the time periods described in this section to extend periods of exclusive <br /> use by the Licensee, and (2) joint use of the Athletic Field by the Licensor and the <br /> Licensee for special events. <br /> 5. The Licensee agrees to provide regular maintenance of the Practice Field by <br /> mowing and keeping the area free of debris and litter. The Licensee agrees not to remove <br /> or modify any structure or improvements on the Athletic Field without first obtaining written <br /> consent from the Licensor's city manager. All modifications or improvements will be at the <br /> Licensee's expense. <br /> 6. In the event the Licensee fails to maintain the Practice Field or otherwise comply <br /> with the terms or conditions of this agreement, the Licensor will give the Licensee written <br /> notice of the failure, and the Licensee must correct the failure within 30 days from the date <br /> of notice. If the Licensee does not satisfactorily correct the failure within the 3D-day period, <br /> the Licensor, in addition to other remedies it may have, may correct the failure at the <br /> Licensee's expense. <br /> 7. The term of this license will commence on the date of this instrument and will <br /> terminate on December 31, 1998. Unless one party notifies the other of its intent to <br /> terminate this agreement at least 30 days in advance, this agreement will be automatically <br /> extended for a one-year period on each January 1 st. Either party may terminate this <br /> Agreement at any time with or without cause, by giving thirty (30) days written notice to the <br /> other party. <br /> 8. All notices from one party to the other under this agreement shall be in writing and <br /> delivered to the following representative of the other party: <br /> To Licensee: William A. Nance, Vice President for Finance and Support Services <br /> Southwest Texas State University <br /> 601 University Drive <br /> San Marcos, Texas 78666 <br /> To Licensor: Larry D. Gilley, City Manager <br /> City of San Marcos <br /> 630 East Hopkins <br /> San Marcos, Texas 78666 <br /> or to another address designated by a party in a notice as required above. <br /> 9. This Agreement shall be construed in accordance with the laws of the State of <br /> Texas. Venue for any legal action under this Agreement shall lie in Hays County, Texas. <br /> 10. This Agreement is the entire and integrated agreement between the Licensor and <br /> C: \OFF ICE\WPWI N\WPDOCS\REALPROP\SWT -FLD. LlC 2 <br />
