<br />11. Additional Payments by Lessee: <br /> Lessee shall pay, in addition to the rental specified, all pennit fees, license fees, and <br /> any and all taxes required by law and/or by ordinances of the City of San Marcos, <br /> Texas, incurred or occasioned by Lessee's installation, use, operation, maintenance <br /> and/or removal of Lessee's equipment at, on, or from the Leased Premises. All such <br /> fees and taxes shall be specified on Exhibit A to this Agreement and shall not <br /> escalate or be added to during the tenn of this Agreement. <br />12. Assignments: <br /> Lessee shall have the right to assign this Agreement with Lessor's consent which <br /> shall not be unreasonably withheld, to any corporation, or to any person or entity <br /> which acquires substantially all of Lessee's assets, provided that such assignee <br /> assumes in full all of Lessee's obligations under this agreement. <br />13. Utilities: <br /> Lessee shall have all utility services used by it metered in its own name and shall <br /> promptly pay the bills. <br />14. Lessor's Access to Leased Premises: <br /> If Lessor needs access to Lessee's equipment house, Lessor shall notify Lessee, and <br /> Lessee shall promptly provide an escort to afford such access to Lessor. <br />15. Indemnification: <br /> Lessee agrees, to the fullest extent allowed by law, to protect, defend, indemnify and <br /> hold Lessor, and its employees, agents, officers and servants free and harmless from <br /> all losses, claims, liens, demands and causes of action of every kind including, but <br /> not limited to, the amounts of judgments, and/or incidental damages, penalties, <br /> interest, court costs, legal fees and all other expenses arising out of and to the extent <br /> of Lessee's negligence except those arising or resulting from the willful misconduct <br /> of Lessor or its agents, employees and contractors. Lessee agrees to investigate, <br /> respond to, and defend any such claims, demands, or suits at the sole expense of <br /> Lessee. The indemnity required by this Agreement shall not be limited by reason of <br /> the specification or any particular insurance coverage in the Agreement. Lessee <br /> further agrees to obtain from its contractors, subcontractors, and consultants the <br /> same indemnification in writing of Lessor as stated above. <br /> -4- <br />
