<br /> of typical passenger cars and trucks, and in a condition commensurate with pre-sludge land <br /> application activities. <br /> 5. Future Access Roads. Future access roads may be constructed within the Property to aid <br /> in application efforts, if deemed necessary by the mutual agreement of the University and the City. <br /> The expense of constructing and maintaining these future access roads will be determined by <br /> agreement of the parties. <br /> 6. Charges for Sludge Application. The City will not charge the University for the Sludge <br /> application for the first 18 months of this agreement. The City and the University will negotiate a <br /> rate for the continuation of the service after that time. <br /> 7. Term. The term of this agreement begins on July 1, 1998, and ends ten years after that, <br /> on June 30, 2008. Either party may terminate this agreement at any time during its term by <br /> providing at least 90 days advance notice of the termination to the other party. <br /> 8. Amendments. Any amendments to the terms of this agreement must be in writing and <br /> signed by both parties. <br /> 9. Indemnity. The City and the University each agree to hold harmless, indemnify and <br /> defend the other party to the extent allowed by law for claims for personal injury or property damage <br /> allegedly caused by their respective wrongful acts or omissions related to this agreement. <br /> 10. Miscellaneous. This agreement is governed by the laws of the State of Texas. Venue <br /> for any legal proceedings under this agreement shall lie in Hays County, Texas. Each party will pay <br /> for the performance of its obligations under this agreement from current revenues available to the <br /> party. The rights and obligations of a party under this agreement are assignable only with the written <br /> consent ofthe other party. <br /> EXECUTED on June 8,1998. <br />
