<br /> Capital Area Planning Council <br /> Solid Waste Interlocal Contract <br /> General Provisions <br /> Attachment E <br /> Article 1 Le2al Authoritv and Indemnification <br /> <br /> The SUBCONTRACTOR \varrants and assures CAPCO that it possesses adequate legal authority <br /> to enter into this Contract. The SUBCONTRACTOR'S governing body where applicable has <br /> authorized the signatory official(s) to enter into this Contract and bind the SUBCONTRACTOR to <br /> the terms of this Contract and any subsequent amendments hereto. The SUBCONTRACTOR <br /> agrees to adhere to the provisions of Section 361.014 of the Texas Health and Safety Code, Title 30 <br /> Texas Administrative Code section 330.569, to the provisions of section 330.59 of the TNRCC <br /> Municipal Solid Waste Regulatiðns, this agreement, the Uniform Grant & Contract Management <br /> Standards (UGCMS) and the contract between TNRCC & CAPCO. <br /> Indemnification <br /> a) SUBCONTRACTOR agrees at its o\vn expense to defend CAPCO and TNRCC against any <br /> claim, suit, or administrative proceeding, and to indemnifY them against any liability <br /> (including all expenses and reasonable counsel fees incurred), arising out of any act or <br /> omission of SUBCONTRACTOR's governing body member, employee, or agent under this <br /> contract, to the extent allowed bv Texas law. <br /> <br /> b) SUBCONTRACTOR agrees to satisfY its obligations under this paragraph out of current <br /> revenues at the time its obligations are determined. [f current revenues are inadequate to <br /> satisfY its obligations when they are determined, SUBCONTRACTOR agrees to take all <br /> budgetary action necessary to satisfY its obligations. <br /> Article 2 Scope of Services <br /> <br /> The services to be performed by the SUBCONTRACTOR are herewith outlined in the General <br /> Contract (Attachment E) and the Special Contract Provisions (Attachment A), which are hereby <br /> incorporated into and made a part of this Contract as if set out word-for-word herein. <br /> Article 3 Purpose <br /> <br /> (a). The purpose of this Contract is to accomplish the goals of House Bill 3072, 74th Texas <br /> Legislature 1995, as they relate to distributing solid waste fee revenue funds to support local and <br /> regional solid waste projects consistent with the regional solid waste management plans approved <br /> by the TNRCC and to update and maintain those plans. <br /> (b). Under the overall goals of the funding program established under House Bill 3072, the <br /> purposes of this Contract are: <br /> Capital Area Planning Council <br /> FY 1998 Solid Waste Contract 21 <br /> - <br />
