Contractor will identify the reasons for the requested <br /> adjustment, and its impact upon the Contractor's cost of operations, in unit terms, with an <br /> explanation of the methodology used to calculate to such impact. The City may request <br /> additional information it considers necessary to evaluate the requested adjustment. The <br /> City may grant such adjustments through amendments to the Contract. If the Contractor <br /> and the City do not agree on any rate increase requested by the Contractor, the <br /> Contractor may elect to continue the Contract at the current rate or may terminate the <br /> Contract effective upon three hundred sixty-five (365) calendar days written notice. <br /> ARTICLE 4 <br /> RECORDS AND REPORTS <br /> 4.1 All expense records of Contractor will be kept on a recognized accounting basis <br /> acceptable to the City and will be available to the City at mutually convenient times. <br /> 4.2 The City, its auditors, federal auditors, and state agencies that have monitoring or <br /> auditing responsibilities for this Contract will have access to any books, documents, papers <br /> and records of the Contractor which are directly pertinent to this Contract for the purpose <br /> of making audit, examination, excerpts, copying and transcriptions. <br /> 4.3 The Contractor will furnish to the City at such time and in such form as the City may <br /> require, financial statements including audited financial statements, records, reports, data <br /> and information, as the City may request pertaining to the matter covered by this Contract. <br /> 4.4 The Contractor will file the following records and reports with the City on a monthly <br /> basis: <br /> (a) Reports of all complaints received, investigations of these complaints, <br /> and actions taken by the Contractor. <br /> (b) All monitoring and record documents required by applicable regulatory <br /> agencies. <br /> 4.5 The Contractor will retain all of its records and supporting documentation relating <br /> to this Contract, and not delivered to the City, for a period of three years except in the <br /> event that the Contractor goes out of business during that period, it will turn over to the City <br /> all of its records relating to the Project for retention by the City. <br /> ARTICLE 5 <br /> TERM OF CONTRACT <br /> 5.1 This Contract will be effective August 11, 1998 and will continue for five years until <br /> July 31, 2003. This Contract may be extended for five additional one-year periods, <br /> provided all terms and conditions remain in full force and effect except the Contract period <br /> being extended. The Contract price for any renewal period will be adjusted in a percentage <br /> amount equal to the net percentage change from the previous year in the consumer Price <br /> 10 <br />
