U) review and approve Rules of Operation and Procedure for Edwards Supply ("ROPES") as formulated by the Management Council; should any individual R WRDG participant fail to approve the ROPES, that RWRDG participant shall be entitled to withdraw from the R WRDG immediately without resort to the procedures for withdrawal set forth in Section 2.3 hereof; and (k) maintain all R WRDG information as confidential unless disclosure is required by law, however the representatives of RWRDG participants may discuss confidential information with the representatives of other RWRDG participants and the Agent and Administrator as necessary to the conduct ofRWRDG business. Section 2.3 Termination ofR WRDG Participation A RWRDG participant may withdraw from the RWRDG effective at the end of any calendar quarter, by providing the Administrator with thirty (30) days advance notice as provided herein. Withdrawing R WRDG participants shall be liable for any orders placed with the Administrator for Edwards Aquifer groundwater which are pending when the withdrawal notice is received by the Administrator and fulfilled in whole or in part by RWRDG acquisitions during the calendar quarter in which withdrawal notice is made. Withdrawing RWRDG participants agree to maintain any confidential information to which they become privy while and by virtue of being aRWRDG participant as confidential, and agree not to acquire Edwards Aquifer groundwater rights from any third party from whom the R WRDG is negotiating bona fide pending offers for the acquisition of rights for a period of twelve (12) months after the effective date of the RWRDG participants withdrawal. Section 2.4 Potential Acquisitions Rejected by RWRDG If a potential acquisition of an Edwards Aquifer groundwater right is rejected definitively by the Management Council pursuant to the Rules of Operation and Procedure for Edwards Supply ("ROPES") as unsuitable for acquisition by the R WRDG, any R WRDG participant, including but not limited to any RWRDG participant which may have referred the potential acquisition to the R WRDG and the Agent, may negotiate for and independently make such acquisition and this Agreement shall not be construed as restricting that RWRDG participant's or the Agent's ability to do so notwithstanding Section 2.2 hereof. Section 3. Management Council Section 3.1 Composition of Management Council The Management Council shall initially consist of all RWRDG participants who have executed this Agreement.
