t~1A - ACKNO'VLEDG~mNT OF NOTICE OF MEETING OF Pi\.RTh"ERS A1~ L~DPO~ROFATTO&~Y I, (we) the undersigned, a partner(s) of Greenhaven/Love Investments Partnership (the "Partnership"), a Texas general partnership, created, existing and doing business pursuant to the Texas Uniform Partnership Act, hereby acknowledges receipt of notice of the meeting of the Partners to be he1dat 1:45 P.M on January 19,1997 at Yellow Rock, 3413 Hunter Road, San Marcos, Texas. I, further appoint Betty Rust, a partner of the Partnership, my agent and attorney in fact to act for me and in my name, place and stead to attend said meeting and any continuation or adjournment thereof and to represent, vote, execute consents, agreements and other documents binding upon me as a partner in the Partnership and my interest therein, with respect to the sale of any and all interests of the Partnership in and to Elim Water Company, Inc., and its capiIal stock and assets, to the City of San Maxcos, Texas, and/or its designee or designees, with the same effect as if I were personally present and acting. I authorize my said agent and attorney in fact to substitute any other partner of the Partnership to act under this agency and power attorney and to me this agency and power of attorney and any substitution or revoeation with the Partnership. This agency and power of attorney may be revoked upon written revocation delivered to the Partnership at 438 Booth Drive, San Marcos, Texas, prior to said meeting, and shall be revoked without further action by my personal attendance at said meeting.
