Texas Uniform Partnership Act, hereby acknowledges receipt of notice of the meeting of the <br />I <br />¡ Partners to be held at 1:45 P.M. on January 19, 1997 at Yellow Rock, 3413 Hunter Road, San <br /> Marcos, Texas. <br /> I, further appoint Betty Rust, a partner of the Partnership, my agent and attorney in fact <br /> to act for me and in my name, place and stead to attend said meeting and any continuation or <br /> adjournment thereof and to represent, vote, execute consents, agreements and other documents <br /> binding upon me as a partner in the Partnership and my interest therein, 'with respect to the sale <br /> of any and all interests of the Partnership in and to Elim Water Company, Inc., and its capital <br /> stock and assets, to the City of San Marcos, Texas, and/or its designee or designees, 'with the <br /> same effect as if I were personally present and acting.
