<br /> ~rl/? <br /> - <br />ACKNOWLEDG~ŒNTOFNOTICEOFMEETINGOFPARTNERS <br /> AJ.~ <br /> LTI\1ITED PO\VER OF ATTO&"t"EY <br />I, (we) the undersigned, a partner(s) ofDeerwood Water Investment Partnership (the <br />"Partnership"), a Texas general partnership, created, existing and doing business pursuant to the <br />Texas Uniform Partnership Act, hereby acknowledges receipt of notice of the meeting of the <br />Partners to be held at 1:45 P.M on January 19, 1997 at Yellow Rock, 3413 Hunter Road, San <br />Marcos, Texas. <br />I <br />I, further appoint Linda Vetters, a partner of the Partnership, my agent and attorney in <br />fact to act for me and in my name, place and stead to attend said meeting and any continuation <br />or adjournment thereof and to represent, vote, execute consents, agreements and other <br />documents binding upon me as a partner in the Partnership and my interest therein, with respect <br />to the sale of any and all interests of the Partnership in and to Elim Water Company, Inc., and its <br />capital stock and assets, to the City of San Marcos, Texas, andlor its designee or designees, with <br />the same effect as if I were personally present and acting. I authorize my said agent and attorney <br />in fact to substitute any other partner of the Partnership to act under this agency and power <br />attorney and to file this agency and power of attorney and any substitution or revocation with the <br />Partnership. . <br />This agency and power of attorney may be revoked upon ,vritten revocation delivered to <br />the Partnership at 609 Quail Run, San Marcos, Texas, prior to said meeting, and shall be revoked <br />without further action by my personal attendance at said meeting. <br />EXECUTED: January /8 , 1997. <br /> C.
