(?AII - ACKNO\VLEDG:MKNT OF NOTICE OF MEETING OF PARTNERS Mj) LIMITED POWER OF ATTOlli"ŒY I, (we) the undersigned, a partner(s) ofDeerwood Water Investment Partnership (the "Partnership"), a Texas general partnership, created, existing and doing business pursuant to the Texas Uniform Partnership Act, hereby acknowledges receipt of notice of the meeting of the Partners to be held at 1:45 P.M on January 19, 1997 at Yellow Rock, 3413 Hunter Road, San Marcos, Texas. I, further appoint Linda Vetters, a partner of the Partnership, my agent and attorney in fact to act for me and in my name, place and stead to attend said meeting and any continuation or adjournment thereof and to represent, vote, execute consents, agreements and other documents bindmg upon me as a partner in the Partnership and my interest therein, with respect to the sale of any and all interests of the Partnership in and to Elim Water Company, Inc., and its capital stock and assets, to the City of San Marcos, Texas, andlor its designee or designees, with the same effect as if I were personally present and acting. I authorize my said agent and attorney in fact to substitute any other partner of the Partnership to act under this agency and power attorney and to file this agency and power of attorney and any substitution or revocation with the Partnership. . This agency and power of attorney may be revoked upon written revocation delivered to the Partnership at 609 Quail Run, San Marcos, Texas, prior to said meeting, and shall be revoked without further action by my personal attendance at said meeting.
