<br /> (orK <br /> -11- - <br /> allowed under applicable law. <br /> 7.05 In the event of a termination of this Agreement, as provided in Paragraph <br /> 9.04 below, the parties shall have no further rights or obligations except for the DOL's <br /> - proportionate share of any loss, cost, damages, expenses and attorneys fees as outlined <br /> ! <br /> ! in Article 8 below. <br /> I <br /> ARTICLE 8 <br /> LIABILITY SHARING <br /> . ' <br /> 8.01 The DOL's liability to the City, its successors and assigns, under this <br /> Agreement for any loss, cost, damages, expenses and attorneys' fees sustained or <br /> incurred as a result of any actions, errors, omissions, or inactions committed by the City, <br /> . <br /> while acting as the Project Manager or Owner, under the Construction Contract, and which <br /> are based upon any claims or causes of action of whatever kind or nature resulting from <br /> any personal injury or property damage, or based upon any claim by the Contractor, <br /> subcontractor, suppliers or any third party against the City in its capacity as Project <br /> Manager or Owner for any compensation or othe~ amounts resulting from work performed <br /> on the Project shall be limited to its proportionate share. Each party's proportionate share <br /> amount is equivalent to their proportionate share of the costs of construction to be paid <br /> under this Agreement as determined by the actual bid amounts submitted by the <br /> Contractor. Once those amounts are determined, the City and the DOL agree to execute <br /> an addendum to this Agreement specifically setting forth each party's proportionate share <br /> of the costs. The foregoing notwithstanding, the agreement of the DOL to pay its <br /> proportionate share shall not apply to any claims, causes of action or damages based <br />
