<br /> 10(1- <br /> -12- - <br /> upon any gross negligence or intentional misconduct by the City while acting in its capacity <br /> as Project Manager. <br /> ~~ ARTICLE 9 <br /> . <br /> MISCELLANEOUS <br /> ~. <br /> 9.01 Section HeadinQs: The headings or title of the several articles and sections <br /> of this Agreement are solely for convenience of reference and shall not affect the meaning, <br /> , . <br /> construction or effect of the provisions hereof. <br /> 9.02 Interpretation: The singular form of any word used shall include the plural, <br /> and vice versa unless the context requires otherwise. The use of a word of any gender <br /> . <br /> shall include all other genders, unless the context requires otherwise. This Agreement and <br /> all of the terms and provisions shall be construed so as to effectuate the purposes <br /> contemplated and to sustain its validity. Unless specifically defined, every word contained <br /> in this Agreement shall be given its ordinary every day meaning. <br /> 9.03 Compliance with Laws: The partie~, in the performance of their respective <br /> obligations hereunder, shall comply with all applicable ordinances, regulations, statutes <br /> and laws of the City, the State of Texas, and the United States of America as applicable <br /> in connection with the construction of the Project. <br /> 9.04 Tennination:This Agreement shall terminate if the Construction Contracts <br /> have not been executed within one hundred twenty (120) days after the approval by the <br /> City of this Agreement or at any time upon the agreement of both the City and the DOL. <br /> 9.05 Attornevs' Fees: In the event it becomes necessary to employ an attorney <br />
