Stock <br /> Dear Mr. Taylor: <br /> This letter will confirm our agreement to represent the City of San Marcos, under your <br /> direction, in connection with the City's proposed acquisition of Elim Y~ater Company Inc.'s <br /> capital stock and related actions before the Texas Natural Resource Conservation Commission <br /> (TNRCC). Additionally, we will represent the City in any other matter which you request, <br /> provided we do not have a cont1ict of interest. We have determined that none of the members of <br /> this firm have any conniet in representing the City in this matter. We recognize your right to <br /> terminate this agreement at any time upon notice to us and payment of all outstanding bills for <br /> legal services incurred prior to such notice. We reserve the right to discontinue work and/or to <br /> withdraw as your counsel for reason of nonpayment of our charges for legal services. <br /> Our practice routine envisions direct coordination with your office as to project status, <br /> ; strategy and alternatives and we will provide copies 'of all correspondence and filings related to <br /> our engagement to you on a timely basis. We will be available to meet with City Council and <br /> staff to discuss any matter subject to our engagement and provide and receive input thereon, but <br /> would appreciate advance notice of such meetings in order to avoid potential scheduling conflicts. <br /> In connection with our engagement, we anticipate our services to include the drafting and/or <br /> review of all documents related to the proposed acquisition, assisting the City in the performance <br /> of due diligence analyses of the proposed transaction, the representation of the City before the <br /> TNRCC with respect to any approvals or certificate amendments needed to be secured, and the <br /> furnishing of guidance and oversight throughout the various phases of the proposed acquisition <br /> to ensure both the legality of the transaction and the protection of all applicable municipal <br /> interests. <br /> *Board Cenifi~d, Administrative LawnTexas Board of L~gal Specialization <br />
