<br /> &flU <br /> lL ASSIGNMENT AND SUBLETTING: <br /> a. Lessee may not assign this Lease or sublet the Leased <br /> Premises, or any part thereof, except upon the prior written consent of <br /> the Lessor. No assignment or sublease by Lessee shall affect a release <br /> of any of Lessee's obligations under this Lease. <br /> b. In the event of the transfer or assignment by the Lessor of <br /> its interest in this Lease and/or in the Leased Premises to a person, <br /> firm or corporation which assumes the Lessor's obligations under this <br /> Lease, the Lessor shall be released from any further obligations and <br /> the Lessee agrees to look solely to the successor in interest of the <br /> Lessor to enforce its rights and interests under this Lease or <br /> applicable law subject to receipt of a thirty (30) day written notice <br /> delivered to Lessee of said change in Lessor's interest that clearly <br /> indicates the name, address, telephone number to whom rental paYments <br /> are to be made together with sufficient proof of the transfer or <br /> assignment. <br /> 12. MAINTENANCE AND REPAIRS: <br /> a. Lessor agrees to keep and maintain the Leased Premises in good <br /> repair including, but limited to the roof, walls and foundation of the <br /> building, and agrees to keep the building in a structurally sound and <br /> weathertight condition. <br /> b. Lessee agrees to take good care of the Lease Premises and to <br /> return the Leased Premises in good condition, reasonable wear and tear, <br /> loss by fire or other casualty excepted. <br /> c. Lessee agrees to take good care of the outside of the Leased <br /> Premises, including outside maintenance and clean-up of the lot. <br /> 13. MODIFICATION AND RENOVATIONS: Lessee shall have the right to make <br /> alterations or modifications to the Leased Premises as approved by the <br /> Lessor. Lessor's approval shall not be unreasonably withheld. Any <br /> permanent improvements, excluding trade fixtures, made by the Lessee to <br /> the structure of the Leased Premises during the term of this Lease <br /> shall become a part of the building and shall remain the property of <br /> the Lessor at the termination of this Lease. Upon termination of this <br /> Lease, if Lessee is not in default under any other provision of this <br /> . Lease, Lessee shall have the right to remove all trade fixtures <br /> installed by the Lessee provided that Lessee pays for any damage caused <br /> by the removal of the fixtures. <br /> 14. SIGNS: Lessee shall have the right to put up signs approved by <br /> Lessor, which approval shall not be unreasonably withheld. <br /> 15. MECHANIC'S LIENS PROHIBITED: Lessee will not conduct any <br /> operations on the Leased Premises so as to permit any mechanic's lien <br /> or liens to be placed on the Leased Premises, or any part thereof, and <br /> in the event an affidavit to fix any lien is filed, Lessee agrees to <br /> discharge the same within twenty (20) days after the filing of the <br /> lien. <br /> 16. INSPECTIONS: Lessor or its officers, agents and representatives, <br /> shall have the right to enter into and upon any and all parts of the <br /> Leased Premises at all reasonable hours to: <br /> a. Inspect the Leased Premises or clean or make repairs or <br /> alterations or additions as Lessor may deem necessary (but without any <br /> obligation to do so, except as expressly provided for herein); or, <br /> b. Show the Leased Premises to prospective tenants, purchasers or <br /> . ,- lenders. <br /> 17. DEFAULT: The Lessee shall be deemed to be in default under this <br /> Lease Agreement in the event the Lessee should: <br /> a. Fail to make paYment of rentals or other charges due under <br /> this Lease Agreement when the same are due and payable, and such <br /> failure shall continue for a period of fifteen (15) days; <br /> -3- <br />
