When a significant number of non-English speaking residents can reasonably be expected <br /> to participate in a public hearing, Contractor shall provide an interpreter to accommodate the <br /> needs of the non-English speaking residents. <br /> E. Notwithstanding the provisions of Section 7 of this contract, Contractor shall retain documenta- <br /> tion of the public hearing notices, a list of the attendees at each hearing, and minutes of each hearing <br /> held in accordance with this section for a period of three (3) years after the termination of this con- <br /> tract. Contractor shall make such records available to the public in accordance with Texas Civil <br /> Statutes, Article 6252-17a; <br /> F. Complaint Procedures. Contractor shall maintain written citizen complaint procedures that pro- <br /> vide a timely written response to complaints and grievances. Such procedures shall comply with the <br /> requirements of the Texas Community Development Program Complaint System, 10 T AC Sec. 1.11 - <br /> 1.13. Contractor shall ensure that its citizens are aware of the location and hours at which they may <br /> obtain a copy of the written procedures and the address and phone number for submitting complaints. <br /> SECTION 22. SPECIAL CONDITIONS <br /> A. Department shall not release any funds for any costs incurred by Contractor under this contract <br /> until Department has received certification from Contractor that its fiscal control and fund accounting <br /> procedures are adequate to assure the proper disbursal of and accounting for funds provided under this <br /> contract. Department shall specify the content and form of such certification. <br /> B. Department shall not be liable to Contractor for any costs incurred by Contractor under this <br /> contract until Department receives a properly completed Depository/Authorized Signators Form, as <br /> specified by Department, from Contractor. <br /> . <br /> C. Contractor shall submit to Department a copy of its executed contract with the San Marcos <br /> Industrial Foundation (Sometimes hereinafter referred to as "the Sponsor") to establish, operate and <br /> administer a small business incubator, prior to Department's release of project funds for such project. <br /> (For purposes of this contract, an incubator or small business incubator is defined as a facility within <br /> which small businesses share space, equipment, and support personnel and have access to <br /> professional consultants for advice related to the technical and management aspects of conducting a <br /> commercial enterprise.) Such document must detail the contract terms and conditions, including the <br /> following: <br /> 1. Contractor shall maintain an ownership 'position in the real estate described in Special <br /> Condition H of Sixty-seven percent (67%) based on the amount of Three Hundred Eighty-three <br /> Thousand Two Hundred Ninety-three and No/100 Dollars ($383,293) for a minimum five year <br /> period beginning with the date of this contract. Sponsor shall maintain an ownership position <br /> of thirty-three percent (33%) for the same period. At the end of five years or upon written <br /> approval of Department, Contractor may grant or sell its ownership in the real estate to the <br /> Sponsor. Any funds received in such transaction would be considered program income. <br /> 2. The details of the contract servicing provisions, i.e., who will oversee the contract <br /> between Contractor and Sponsor; <br /> 3. Contractor shall ensure that the Sponsor operates the real estate described in Special <br /> Condition H as an incubator for at least five years; <br /> 4. The activities to be performed by Contractor and the Sponsor, as specified in Exhibit A, <br /> Performance Statement, of this contract; <br /> Page 11 of 1 6 <br />
