<br /> I 3':;1< <br /> 3. The details of the lease servicing provisions, Le., who will oversee it; <br /> 4. The types of positions, number, wage scales and minimum skill levels of all permanent <br /> positions to be created/retained as a result of this project, including a provision requiring that <br /> fifty-one percent (51 %) or more of all jobs created or retained are filled by low-te-moderate in- <br /> come persons; and the total number of persons employed by the Company at the time the lease <br /> agreement is executed. A copy of the Company's payroll, as of the date of this contract, <br /> verifying this information shall be provided to Contractor and Department prior to Department's <br /> release of contract funds; <br /> 5. A hiring plan that includes methods of identifying and training potential low/moderate <br /> income job applicants; <br /> 6. The activities to be performed by Contractor and the Company, as specified in Exhibit A, <br /> Performance Statement, of this contract; <br /> 7. Provisions requiring the Company to repay Contractor for contract funds expended in the <br /> event the Company does not fulfill its responsibilities under the agreement; <br /> 8. A condition which states that the Company will obtain Contractor's approval before in- <br /> curring additional debt during the contract period; <br /> 9. A condition which states that assets (Le., cash, inventory, accounts receivable) are <br /> restricted from being transferred out of the Company without the written consent of Department, <br /> except during the normal course of business, during the contract period; <br /> , <br /> 10. A condition which restricts the principals of the Company from reducing their propor- <br /> tionate ownership in the Company without prior approval from Contractor, <br /> 11. A condition which states that the Company certifies that all taxes are current and future <br /> taxes will be paid when due; <br /> 12. A condition which prohibits the Company from sub-leasing the property/facility (funded <br /> with contract monies) without Department approval. If the Company is permitted to sub-lease <br /> the facility, Company agrees to forward all payments received to the city of San Marcos; <br /> 13. A condition requiring Contractor to make quarterly on-site visits to the Company to as- <br /> sess/monitor the progress toward job creation and requiring the Company to provide to local <br /> officials at the time of on-site visits information regarding job creation and any other information <br /> deemed necessary by Contractor to administer this contract; <br /> 14. Provisions requiring records to be kept and reports to be made regarding the documen- <br /> tation of low and moderate income benefit and beneficiaries by race, ethnicity, gender, and <br /> handicap status in the same manner and to the same extent as Department requires of Contrac- <br /> tor, and <br /> 15. Any other relevant details or special conditions placed on the loan/contract. <br /> D. Contractor shall not advertise or solicit bids for construction or rehabilitation of a project assisted <br /> with funds provided under this contract until Contractor has received the applicable prevailing wage <br /> rates from Department. <br /> Page 12 of 15 <br />
