WILTEL WilTel ADDITIONAL SERVICES ATTACHl\1ENT AND AGREElVIENT ADDENDUM: This is an attachment (the II Additional Services Attachment" or "this Attachment") which supplements, amends and constitutes a part of the following agreement (" Agreement") between WilTel Communications Systems, Inc. ("WilTel") and the Customer, City of San Marcos: ! (Check One) ; ! - Service Agreement _X- Purchase Agreement which includes a Service Addendum (Attachment E) This Attachment applies to the following Premises: Please see Exhibits F -2a through F -2c Unless defined otherwise herein, terms used in this Attachment ",ill have the same defined meaning as set forth in the Agreement. WilTel agrees to provide to Customer the services specified hereafter subject to the provisions set forth below and the terms and conditions of the Agreement. In the event of any conflict between the terms of this Attachment and the terms of the Agreement, the terms of this Attachment shall control. ~ 1. WilTel agrees, subject to the conditions set forth in this Attachment, to install PBX alarm monitoring equipment ("Sentry Equipment") on the System(s) purchased and\or serviced under the above-referenced Agreement and provide the PBX alarm monitoring service (" Alarm Monitoring Service") at no additional charge during the Warranty Period or the term of the applicable Service Agreement or Service Addendum. Alarm Monitoring Service may be continued after the expiration of the Warranty Period only by the execution of a Service Agreement or Service Addendum in accordance with the terms of this Attachment and will be subject to the terms of the Sentry program, if any, in effect at the time of the execution of those documents. 2. Alarm Monitoring Service will be provided pursuant to a Service Agreement or Service Addendum 3t no ch3ree only f if said Agreement or Addendum is for a term of two (2) or more ye3rs; the service is available at WilTel's regular fees ¡ on Service Agreements or Service Addendums of one (1) year. In addition, if Customer did not have the alarm ! monitoring service equipment installed pursuant paragraph 1 above, the Customer must pay the installation fee. ' 3. In consideration of the pro'\'ision of Alarm Monitoring Senice, the Customer agrees that the Initial Term of the Service Agreement or Service Addendum to which this Attachment is applicable shall be _3- years. The parties agree that Alarm Monitoring Senice provided pursuant to this Attachment will NOT be automatically renewed at the end of the Initial Term but may be obtained through the execution of a new Attachment subject to the terms of the Alarm Monitoring Service program, if any, in effect at that time. 4. Alarm Monitoring Service will be provided only if the Customer's System is of a type compatible with the Sentry Equipment and has the hardware and software options necessary to provide the alarms to the Sentry Equipment. If the System does not have such options, then the Customer may choose to purchase them at WilTel's then current price for such equipment. Customer must upgrade the System for compatibility with the Sentry Equipment within six (6) months of the date of this Attachment in order to obtain Alarm Monitoring Service pursuant to the terms of this Attachment.
