<br />32 <br /> <br /> <br />LOCATION AGREEMENT <br /> <br /> <br />This Agreement is made between FOX 2000, a division of Twentieth Century Fox Film <br />Corporation, ("Producer") and the City of San Marcos, ("Owner") as of October .£.L, 1995. <br /> <br />1. PERMISSION: Owner hereby irrevocably grants to Producer (and its successors, <br />assignees, licensees, employees, agents, independent contractors and suppliers, all of <br />-- whom are included in the term "Producer" for purposes of entry upon and use of the <br />¡ Property) permission to enter upon, photograph, record and use the Property (either <br />I <br />! accurately, simulated, in combination with other sets and/or locations and/or otherwise) for <br />the periods set forth in Paragraph 4, below, and to bring all necessary personnel, <br />equipment and temporary sets onto the Property, for the purpose of making still and <br />motion pictures and sound recordings of, on and/or about the Property. <br /> <br />2. PROPERTY: Property means that certain real property located at and described as <br />follows: . <br /> <br />Two areas located within the San Marcos Municipal Airport, 1821 Airport <br />Drive, San Marcos, Texas, more particularly outlined and described on the <br />attached Exhibit "AI! as (1) Obstacle Course Staging and (2) Confederate Air <br />Force (C.A.F.) Staging (including, without limitation, all interior and exterior <br />areas of the Property, certain personal property (furniture and fixtures, as <br />agreed upon by Producer and Owner) located in, on and/or about the <br />Property, and Owner's name, logo, trademark, service mark and/or slogan, <br />as depicted in, on, and/or about the Property). These areas are exclusive of <br />property owned by the City subject to leasehold interests within the areas <br />illustrated in Exhibit "A." <br /> <br />3. SCOPE OF USE: Producer shall have the right to use the electricity, gas, water and <br />other utilities on the Property, and shall reimburse Owner for the actual cost of such <br />\ utilities. Producer shall have the right during the periods set forth in Paragraph 4, below <br />to use any or all of the Property subject to the following: <br /> <br />Producer shall coordinate use of the property with the Airport Manager at all <br />times and shall notify the Airport Manager prior to conducting any activities <br />which require entry by Producer upon the Aircraft Apron illustrated in Exhibit <br />"A. I! Producer shall notify the Airport Manager 48 hours in advance of any <br />requirement to utilize the area described as Zone "2" in Exhibit "B" and ~hall <br />comply with any request of the Airport Manager with regards to Producer's <br />use of property within this zone. Producer shall keep all materials and <br />personnel in the C.A.F. Staging area within Zone "1" and shall not cross the <br />"White Line" into Zone "2" without notification of the Airport Manager as <br />required above.
