DATES: The Property described in Exhibit "A" as the "Obstacle Course Staging" <br /> shall be available for use by Producer for film preparation commencing on approximately <br /> October 25, 1995, and continuing until use of the site for filming occurs on approximately <br /> November 9, 1995, inclusive. The Property described in Exhibit "A" as the "C.A.F. Staging" <br /> shall be available for use by Producer for film preparation commencing on approximately <br />r ~ November 10, 1995, and continuing until use of the site for filming purposes finishes on <br /> approximately November 21, 1995, inclusive. If Producer requires use of the Property <br /> prior or subsequent to the foregoing dates, then Producer may so use the Property subject <br /> only to the payment of additional fees computed on a pro rata basis with respect to the <br /> sums payable pursuant to Paragraph 5, below. <br /> 5. FEES: As complete and full payment for all of the rights granted to Producer <br /> hereunder, Pro~ucer shall pay to Owner the total amount of $5,000.00, payable (a) <br /> $2,500.00, upon the signature of this Agreement by the parties and (b) $2,500, upon the <br /> commencement of photography on the Property. Additionally, both parties to this <br /> agreement acknowledge that days in which filming occurs require the greatest amount of <br /> coordination between the Owner and Producer and subsequently, any number of days <br /> greater than the four (4) film days allotted will require more time and expense to Owner <br /> than the above $5,000.00 total fee compensates. Therefor, any day of filming after the <br /> fourth day will be compensated at the daily rate of $1,250.00, to be paid upon completion <br /> of dismantlement of Producer's set. Fees outlined in this paragraph are exclusive of <br /> expenses incurred by Producer such as, but not limited to; Police, Fire, Utilities, Aircraft <br /> Parking, Storage and Fuel. <br /> 6. FACILITIES: Producer agrees to remove all equipment and temporary sets after <br /> completion of its use of the Property and to leave the Property in as good a condition as <br /> when entered upon by Producer, reasonable wear and tear excepted. Signs on the <br /> Property may be removed or changed, but if removed or changed such signs shall be <br /> replaced. Producer will use reasonable care to prevent damage to the Property and will <br /> indemnify Owner from any damages and/or losses arising out of personal injuries or <br /> property damage proximately caused by Producer in connection with use of the Property <br /> by Producer. Producer agrees to maintain liability and property damage insurance covering <br /> the use of the Property by Producer in customary and adequate levels. Owner agrees to <br /> maintain liability and property damage insurance covering the Property in customary and <br /> adequate levels. Notwithstanding the foregoing, Owner may request the right to dismantle <br /> and purchase Producer's sets by giving notice prior to the date that Prod!-lcer would <br /> otherwise dismantle the sets. <br /> 7. FORCE MAJEURE: If because of illness of actors, director or other essential artists <br /> and crew, weather conditions, defective film or equipment or any other occurrence beyond <br /> Producer's control, Producer is unable to start work on the date designated above and/or <br /> Location Agreement -2- <br /> "COURAGE UNDER FIRE" <br />
