~ 100 LICENSE AGREEMENT DATE: 12/5/95 LICENSOR: city of San Marcos, a municipal corporation 630 Ease Hopkins street San Marcos, Hays County, Texas 78666 LICENSEE: Century Telephone of San Marcos, Inc. 208 South Guadalupe street San Marcos, Hays County 1 Texas 78666 CONSIDERATION: Ten and no/100 Dollars and other good and valuable consideration 1 including the Licensee's performance of its obligations under this agreement. PROPERTY: A 0.102 acre (4,443.12 square foot) tract of land in the T.J. Chambers Survey 1 being a portion of land out of the 2.959 acre tract described in a deed from Lower Colorado River Authority to city of San Marcos, A Municipal Corporation 1 in a deed recorded in Volume 1080, Page 874-885 of the Hays County Deed Records, and being more fully described in Exhibit "A" attached hereto. i RECITALS A. LICENSEE desires to install buried conduit and a telephone cable system in conjunction to the placement of a remote switching shelter within Licensor's property location at the Hilltop power sub-station on Ramsay Street. B. LICENSOR has agreed to give LICENSEE a license to install and maintain the buried conduit and telephone cable system within the PROPERTY. NOW THEREFORE, LICENSOR, for the CONSIDERATION, hereby grants and demises to LICENSEE a non-exclusive license to install, operate 1 maintain, replace, upgrade and reconstruct subsurface telephone communication lines, wires, circuits and conduit within the PROPERTY 1 subject to the following: 1. LICENSEE agrees that, in order for LICENSOR to maintain and protect the integrity of its facilities, LICENSEE shall obtain the LICENSOR's prior written approval for LICENSEE's construction or reconstruction activities with the PROPERTY 1 such approval not to be unreasonably withheld. LICENSEE further agrees to maintain safe and proper clearances from LICENSOR's facilities at all times with LICENSEE's facilities, equipment and personnel.
